Section 16(b) Officer definition

Section 16(b) Officer means an officer of the Company who is subject to the short-swing profit recapture rules of section 16(b) of the 1934 Act.
Section 16(b) Officer means a person who is an officer of the Company within the meaning of Section 16(b) of the Exchange Act and the rules and regulations promulgated thereunder.

  • Eligibility to elect this form of benefit shall be limited to employees who will be at least age 62 and have 10 years of Service (as defined in the Pension Plan) when benefits are to be paid, and (A) if the employee is a Section 16(b) Officer, have approval of the Compensation Committee of the Board of Directors, or (B) if the employee is not a Section 16(b) Officer, have approval of the Chief Executive Officer of the Corporation or the Senior Vice President of Human Resources of the Corporation.

Related to Section 16(b) Officer

  • Executive Officer means, with respect to any corporation, the Chief Executive Officer, Chief Operating Officer, Chief Financial Officer, President, Executive Vice President, any Vice President, the Secretary or the Treasurer of such corporation; and with respect to any partnership, any general partner xxxxxxx.

  • Chief Officer means the Officer appointed by the Integration Joint Board in accordance with section 10 of the Act;

  • Administrative Officer means anyone designated at the college as being on the administrative staff, such as the President, Chief Academic Officer, Chief Student Services Officer, etc.
