Security Obligations definition

Security Obligations means: (i) providing unique access credentials for each customer; (ii) encrypting all Customer Data transmitted between the Customer and the Services; and (iii) controlling and monitoring physical access to the sensitive areas of Arcserve’s facility where Customer Data is stored.
Security Obligations has the meaning set forth in Section 5.4 of this Agreement.
Security Obligations means (a) the due and punctual payment by the Company of (i) the Obligations and (ii) all other monetary obligations of the Company to any Secured Parties, in each case under this Indenture, the Securities and each of the Security Documents, including obligations to pay fees, expense reimbursement obligations and indemnification obligations, whether primary, secondary, direct, contingent, fixed or otherwise (including, monetary obligations incurred during the pendency of any bankruptcy, insolvency, receivership, other similar proceeding, regardless of whether allowed or allowable in such proceeding), (b) the due and punctual performance of all other obligations of the Company under or pursuant to this Indenture, the Securities and each of the Security Documents and (c) the due and punctual payment and performance of all the obligations of each Subsidiary Guarantor under or pursuant to the Indenture, the Subsidiary Guarantees and each of the Security Documents.

  • To ensure compliance with the Data Security Obligations, the Company and its subsidiaries have in place, comply with, and take appropriate steps reasonably designed to ensure compliance in all material respects with their policies and procedures relating to data privacy and security and the collection, storage, use, disclosure, handling and analysis of Personal Data (the “Policies”).

  • Arcserve is not responsible to you for unauthorized access to Customer Data or the unauthorized use of the Services (unless the unauthorized access or use results from Arcserve’s material failure to meet the Security Obligations (which solely apply to Services)).

  • The Contractor shall use reasonable endeavours to ensure that all it complies with the Data Security Obligations set out in Schedule 6.

  • Provider shall implement and maintain Information Security Obligations to protect Accenture Personal Data against a Security Incident.

  • The Parties will mutually co-operate as to procuring the release of the Vendors and Wallis from the Security Obligations and the obtaining of the approval of the Bank to the change in the ownership and management structure of the Company.


More Definitions of Security Obligations

Security Obligations means the Securities, the Security Guaranties and all other Obligations of any Obligor under this Indenture or any of the Security Documents.
Security Obligations means collectively (i) the Agreed Encumbrances and (ii) the prompt suretyship obligation undertaken by Wallis in connection with the Company entering into a loan agreement with the Bank on 22 October 2002 (No. PFS-02-09-06). “Share Consideration” shall have the meaning ascribed to it in Section 2.5 hereof.
Security Obligations means Liens and/or Guarantees.
Security Obligations means (a) the due payment by the Company of (i) the Obligations and (ii) all other monetary obligations of the Company to any Secured Parties, in each case under this Indenture, the Securities and the Pledge Agreement, including obligations to pay fees, expense reimbursement obligations and indemnification obligations, whether primary, secondary, direct, contingent, fixed or otherwise (including, monetary obligations incurred during the pendency of any bankruptcy, insolvency, receivership or other similar proceeding, regardless of whether allowed or allowable in such proceeding) and (b) the due performance by the Company within applicable grace periods of all other obligations of the Company under or pursuant to this Indenture, the Securities and the Pledge Agreement.
Security Obligations means the collective reference to the unpaid principal of and interest on the Securities and all other payment obligations and liabilities of the Lessor to the Securityholders under the Securities, the Indenture and any of the other Operative Agreements.
Security Obligations means the security requirements and obligations to be complied with by Teranet Manitoba substantially in the form attached as Schedule E to the License and Service Provider Agreement.
