Sell Order definition

Sell Order has the meaning specified in Section 11.10(b)(i) below.

Sell Order. Inasmuch as a Broker-Dealer participates in an Auction as an Existing Holder or a Potential Holder only to represent the interests of a Beneficial Owner or Potential Beneficial Owner, whether it be its customers or itself, all discussion herein relating to the consequences of an Auction for Existing Holders and Potential Holders also applies to the underlying beneficial ownership interests represented.

Sell Order has the meaning specified in Section 11.10(b)(i)(B) below.

Examples of Sell Order in a sentence

• A Sell Order by an Existing Holder shall constitute an irrevocable offer to sell: (1) the number of Outstanding shares of AMPS specified in such Sell Order; or (2) such number or a lesser number of Outstanding shares of AMPS to be determined as set forth in paragraph 10(e)(ii)(C) if Sufficient Clearing Bids do not exist.

• Access Persons may not purchase or sell a Covered Security on a day when there is a Buy or Sell Order for a Client of their respective Investment Adviser.

• The Auction Agent will advise each Broker-Dealer who submitted a Bid or Sell Order in an Auction whether such Bid or Sell Order was accepted or rejected in whole or in part and of the Applicable Rate for the next Dividend Period for the related Preferred Shares by telephone or through its Auction Processing System as set forth in paragraph (a) of the Settlement Procedures.

• Neither the Fund nor any Affiliate of the Fund may submit any Sell Order or Bid, directly or indirectly, in any Auction, except that an Affiliate of the Fund that is a Broker-Dealer may submit a Sell Order or Bid on behalf of a Beneficial Owner or a Potential Beneficial Owner.

• Access Persons may not purchase or sell a Covered Security on a day when there is a Buy or Sell Order for a Client.

More Definitions of Sell Order

Sell Order and "Sell Orders" shall have the respective meanings specified in paragraph 1(a) of Part II of this Section 12.1.

Sell Order shall have the meaning specified in Appendix A hereto.

Sell Order has the meaning set forth in Section 2.5.1 (a)(i) hereof.

Sell Order means with respect to Auction Rate Bonds, Sell Order as defined in Section 3.06.

Sell Order shall have the meaning ascribed to such term in Section 4(a)(i) hereof.

Sell Order and "SELL ORDERS" shall have the respective meanings specified in paragraph (a) of Section 1 of Part II of Article X of these Bylaws.
