Seller Name and Marks has the meaning specified in Section 8.3(a).

Seller Name and Marks means the names and marks of Seller and its Affiliates set forth on Section 1.2 of the Transitional Trademark License Agreement, either alone or in combination with other words and all marks, trade dress, logos, monograms, domain names and other source identifiers confusingly similar to or embodying any of the foregoing either alone or in combination with other words.

Examples of Seller Name and Marks in a sentence

  • Notwithstanding anything to the contrary contained herein, Buyer may perpetually maintain books and records containing the Seller Name and Marks for archival and compliance purposes.

  • The Parties acknowledge that this Agreement is intended to provide Buyer with a wind down period with respect to the Group Companies’ use of the Seller Name and Marks.

  • Buyer acknowledges and agrees that Licensor or its Affiliates own all right, title and interest in and to the Seller Name and Marks, including all Intellectual Property embodied in the Seller Name and Marks.

  • Buyer’s rights and obligations with respect to its limited transitional use of the Seller Name and Marks after Closing shall be as set forth in the Trademark License Agreement.

  • Buyer shall take all necessary action to ensure that its Affiliates comply with this Section 8.05, and shall use commercially reasonable efforts to enforce its rights under the TPA Agreement with respect to the TPA’s use of Seller Name and Marks, including upon the termination of the TPA Agreement.

  • Buyer agrees to furnish Licensor, at Licensor’s prior written request, representative samples showing all uses of the Seller Name and Marks by Buyer and its Affiliates.

  • Buyer shall take all necessary action to ensure that other users of the Seller Name and Marks, whose rights terminate upon the Closing pursuant to this Section 8.3, shall cease use of the Seller Name and Marks, except as expressly authorized thereafter by Seller.

Related to Seller Name and Marks

  • business name or "trade name" means the name of a licensed business as used by the licensee on signs and advertising.

  • User Name means any user name allocated to the Customer for access to the Services;

  • Brand name or “trade name” means a brand name or a trade name, whether registered or not, that is to say, a name or a mark, such as symbol, monogram, logo, label, signature, or invented word or writing which is used in relation to such specified services for the purpose of indicating, or so as to indicate a connection in the course of trade between such specified services and some person using such name or mark with or without any indication of the identity of that person;

  • Product brand name means the name of the product exactly as it appears on the principal display panel of the product.

  • Domain Names means all Internet domain names and associated URL addresses in or to which any Grantor now or hereafter has any right, title or interest.
