Seller Owners definition

Seller Owners is defined in the preamble.

Seller Owners means Noble Cayman, Noble Leasing, Noble Leasing III and Pacific Drilling and “Seller Owner” means any one of them as the context requires;

Seller Owners means, for each Seller, the holders of 100% of the equity of such Seller.

• For the avoidance of doubt, the provisions of this Section 6.18 shall be several obligations of the Sellers and Seller Owners, and no breach by any Seller or Seller Owner of any of the Restrictive Covenants shall be deemed to be a breach of any of the Restrictive Covenants by any other Seller or Seller Owner.

• This Agreement shall be binding upon the Company and its successors and assigns and shall inure to the benefit of Seller and the Seller Owners and to the benefit of their successors and permitted assigns.

• The obligations of the Company hereunder, with respect to the Shares, shall terminate upon the earlier of (i) the date on which all Shares covered by the Registration Statement have been disposed of by Seller and the Seller Owners and (ii) the second anniversary of the Acquisition.

• The Company shall advise Seller and the Seller Owners in writing of the receipt by the Company of any stop order from the SEC suspending the effectiveness of the Registration Statement, and if at any time there shall be a stop order suspending the effectiveness of the Registration Statement, the Company shall use its reasonable best efforts to obtain promptly the withdrawal of such order.

• The Company shall have the right to have one or more Representatives present at all times during any visits, examinations, discussions or contacts contemplated by this Section 8.3, and all access shall be managed by and conducted through the Seller Owners.

• Seller and Seller Owners agree to indemnify Parent and RII Sub for any costs, taxes, liabilities or penalties Parent and RII Sub incur as a result of RII Sub adopting Seller's 401(k) retirement plan, to the extent that such costs, taxes, liabilities or penalties are attributable to the operation or documentation of Seller's 401(k) retirement plan prior to the Closing Date.

• Seller, Owners and each Owner Entity Shareholder hereby acknowledges that any breach of this Agreement by Seller, any Owner or any Owner Entity Shareholder would cause Buyer irreparable harm and that a remedy at law for such breach would be inadequate.
