Any attempt by any Common Holder to Transfer any Seller Shares in violation of any provision of this Agreement will be void.
The purchase and sale of the Seller Shares shall take place remotely via the electronic exchange of documents and signatures on the date of the closing of the Offering or at such other time and date as the Company and the Seller shall mutually agree (which time and place are designated as the “Closing Date”).
Before a Seller may Transfer any Seller Shares, Seller must comply with the provisions of Section 2.2, Section 3 and Section 4.
Each Common Holder represents and warrants that such Common Holder is the sole legal and beneficial owner of their Seller Shares and, subject to any restrictions imposed under the Company’s certificate of incorporation or bylaws, or under any restricted stock purchase agreement with the Company, that no other person or entity has any interest (other than a community property interest) in such shares.
At the Closing Date: (i) the Company shall pay to the Seller in cash the Aggregate Repurchase Price by wire transfer of immediately available funds to an account that the Seller shall designate in writing and (ii) the Seller and the Company shall deliver, or cause to be delivered, to the Company’s transfer agent a duly executed instruction letter relating to the transfer of the Seller Shares to an account designated by the Company.
