Seller TSA definition

Seller TSA shall have the same meaning as the HQUS TSA (as defined in the TSA).
Seller TSA has the meaning specified in Section 1.7(c).
Seller TSA means the Seller transition services agreement, dated as of the Effective Date, by and between Seller and Purchaser.

  • Buyer hereby agrees, and shall cause its applicable Subsidiaries and Representatives, to protect Seller TSA Confidential Information by using the same degree of care, but no less than a reasonable degree of care, to prevent the unauthorized disclosure of Seller TSA Confidential Information as Buyer uses to protect its own confidential information of a like nature.

  • Sellers shall not order any goods or services or exercise any rights pursuant to a Seller TSA Executory Contract, except at the request and on behalf of Purchaser; provided that with respect to any Shared Executory Contract, Sellers may order goods or services for their own account.

  • In the event that such protective order or other similar remedy is not obtained, Buyer or its applicable Subsidiaries shall furnish only that portion of Seller TSA Confidential Information that has been legally compelled, and shall exercise its reasonable best efforts to obtain assurance that confidential treatment will be accorded such disclosed Seller TSA Confidential Information.

  • Allow Purchaser to manage and exercise rights under, for its own account, the Seller TSA Executory Contracts (defined below).

  • In the event of any inconsistency between the statements in the body of this Agreement and those in the other Operative Agreements (other than the Sawmill Lease, Seller TSA and the SC Lease), the Confidentiality Agreement or the exhibits and schedules attached hereto (other than an exception set forth as such in the Schedules) or thereto, the statements in the body of this Agreement will control.
