Selling Group definition

Selling Group has the meaning ascribed thereto in Section 2.2;

Selling Group has the meaning set forth in Section 6.6.

• The Agent is duly registered or licensed pursuant to the provisions of the Securities Laws in those jurisdictions in which it is required to be so registered or licensed in order to perform the services contemplated by this Agreement, or if or where not so registered or licensed, the Agent will act only through Selling Group members who are so registered or licensed.

• An Agent will not be liable to the Corporation under this Section 6 with respect to a breach under this Section 6 by the other Agent, such other Agent’s Affiliates, U.S. Affiliates or any Selling Group member appointed by such other Agent, as the case may be.

• Other than the Agents (or any Selling Group) pursuant to this Agreement, there is no Person acting or purporting to act at the request of the Corporation who is entitled to any brokerage, agency or other fiscal advisory or similar fee in connection with the Offering or transactions contemplated herein.

More Definitions of Selling Group

Selling Group means, collectively, those registered dealers appointed by the Underwriters to assist in the Offering;

Selling Group means any group formed in connection with a public offering, to distribute all or part of an issue of securities by sales made directly to the public by or through members of such selling group, under an agreement which imposes no financial commitment on the members of such group to purchase any such securities except as they may individually or collectively elect to do so.
