There are no pending or, to the Knowledge of each Selling Entity, threatened claims, suits or Proceedings (except routine claims for benefits payable in the ordinary course of business) against or relating to any Seller Benefit Plan (or the assets thereof), including by or before any Governmental Authority.
Until the liquidation and winding up of each Selling Entity’s estate, such Selling Entity may keep a copy of the Records.
