This Agreement is a Facility Agreement and a Senior Debt Instrument, the Term Lenders, Working Capital Lenders and Issuing Banks in this Agreement are Senior Creditors and the Credit Facility Agent is the Senior Creditor Group Representative of the Term Lenders, the Working Capital Lenders and the Issuing Banks, in each case under the Finance Documents.
Any actions, consents, approvals, authorizations or discretion taken, given, made or exercised, or not taken, given, made or exercised by the Credit Facility Agent, acting as a Senior Creditor Group Representative on behalf of the Lenders and Issuing Banks, in accordance with the Intercreditor Agreement shall be binding on each Lender and Issuing Bank.
The Trustee shall be the Senior Creditor Group Representative for the New Notes.
