Senior Secured Term Loan Documents definition

Senior Secured Term Loan Documents means the Senior Secured Term Loan Agreement and all other agreements, instruments and other documents (including collateral documents with respect thereto) pursuant to which the Senior Secured Term Loans have been or will be made or otherwise setting forth the terms of the Senior Secured Term Loans.
Senior Secured Term Loan Documents means the $325,000,000 Credit Agreement, dated as of March 9, 2011, among the Loan Parties, Bank of America, N.A., as administrative agent and the other lenders from time to time party thereto, and all other instruments, agreements and other documents evidencing the Senior Secured Term Loans or providing for any Guarantee or other right in respect thereof, as the foregoing may be amended, modified, supplemented, replaced, refinanced, renewed or extended as permitted thereunder and in accordance with the ABL Intercreditor Agreement.
Senior Secured Term Loan Documents means the Amended and Restated Senior Secured Term Loan Agreement, dated as of the Issue Date, by and among the Issuer, Colfin WLH Funding, LLC, as administrative agent, and Colfin WLH Funding, LLC, as arranger, and the lenders party thereto or their assigns, including any notes, guarantees, collateral and security documents, instruments and agreements executed in connection therewith, and in each case as amended, restated, modified, supplemented, renewed, replaced or refinanced, in whole or in part, from time to time (including, without limitation, to (i) change the manner, place or terms of payment of, or extend the time of payment of, or renew or alter, the Priority Lien Obligations or any collateral security or guaranty therefor, (ii) sell, exchange, release or otherwise deal with any property pledged, mortgaged or otherwise securing the Priority Lien Obligations, (iii) release any Person liable in any manner for the Priority Lien Obligations, (iv) exercise or refrain from exercising any rights against any obligor and any other Person, and/or (v) to the extent permitted in this Indenture, increase the amount of Indebtedness outstanding thereunder, in each case at any time and from time to time, without notice to or consent by the Note Trustee, the Collateral Trustee, the Parent, any Restricted Subsidiary or any Guarantor and without incurring responsibility or liability to any such Person and without impairing or releasing the subordination provided in the Intercreditor Agreement).

  • The Agent shall have received endorsements naming the Agent (together with the agent (as defined in the Senior Secured Term Loan Documents), as applicable) as an additional insured or loss payee, as applicable, subject to the terms of the ABL Intercreditor Agreement.

  • Term Loan Security Documents means the “Security Documents” as defined in the Term Loan Credit Agreement.

  • First Lien Loan Documents means the “Loan Documents” as defined in the First Lien Credit Agreement.

  • Permitted Junior Secured Refinancing Debt means any secured Indebtedness (including any Registered Equivalent Notes) incurred by the Borrower in the form of one or more series of second-lien (or other junior lien) secured notes or second-lien (or other junior lien) secured loans; provided that (i) such Indebtedness (x) is secured by the Collateral on a second-priority (or other junior priority) basis with the Obligations and (y) is not secured by any property or assets of the Borrower or any Subsidiary other than the Collateral, (ii) such Indebtedness constitutes Credit Agreement Refinancing Indebtedness, (iii) such Indebtedness does not mature, have a shorter Weighted Average Life to Maturity than, or have scheduled amortization or scheduled payments of principal and is not subject to mandatory redemption, repurchase, prepayment or sinking fund obligation (other than customary offers to repurchase upon a change of control, asset sale or casualty event and customary acceleration rights after an event of default), prior to the date that is 91 days after the Latest Maturity Date at the time such Indebtedness is incurred, (iv) such Indebtedness is not guaranteed by any Subsidiaries other than the Subsidiary Guarantors, (v) a Senior Representative acting on behalf of the holders of such Indebtedness shall have become party to or otherwise be subject to the provisions of one or more intercreditor agreements reasonably satisfactory to the Administrative Agent and (vi) any mandatory or voluntary prepayments of Permitted Junior Secured Refinancing Debt may not be made except to the extent that prepayments of the Term Loans and Permitted Pari Passu Secured Refinancing Debt are first made ratably, to the extent required hereunder or pursuant to the terms of such Permitted Pari Passu Secured Refinancing Debt, as the case may be. Permitted Junior Secured Refinancing Debt will include any Registered Equivalent Notes issued in exchange therefor.

  • Senior Credit Agreement has the meaning specified therefor in the Recitals hereto.
