Series A-3 Notes definition

Series A-3 Notes is defined in Section 1.1.
Series A-3 Notes means the Senior Notes created and to be issued under this [ ] Supplemental Indenture in the original Principal Amount of [ ] and designated as the “Auction Rate Student Loan Asset-Backed Notes, Senior Series [ ]A-3.”
Series A-3 Notes means the $201,603,000 CIT Education Loan Trust 2005-1, Education Loan Backed Notes, Series A-3.

  • In accordance with the requirements of the Guaranty, the Additional Guarantors desire to amend the definition of Guarantor (as the same may have been heretofore amended) set forth in the Guaranty so that at all times from and after the date hereof, the Additional Guarantors shall be jointly and severally liable as set forth in the Guaranty for the obligations of the Company under the Note Purchase Agreement and Series A-3 Notes to the extent and in the manner set forth in the Guaranty.

  • The Series A-3 Notes are issuable only as fully registered notes in Authorized Denominations.

  • The Formula Rate for each Interest Accrual Period for the Series A-3 Notes shall equal One-Month LIBOR plus .38%, but in no event greater than 17% per annum.

  • The Calculation Agent shall determine the Series Interest Rate with respect to the Series A-3 Notes for each Interest Accrual Period which Series Interest Rate shall equal the Formula Rate calculated as follows, subject to the limitation of the Net Loan Rate as hereinafter described.

  • Except when this Series 1998A1-3 Note is held in a Book-entry System and subject to the limitations and upon payment of the charges, if any, provided in the Indenture, Series A-3 Notes may be exchanged at said office of the Indenture Trustee for a like aggregate principal amount of Series A-3 Notes of the same date and series of other Authorized Denominations.

  • The Original Series A Notes, Series A-1 Notes, Series A-2 Notes and Series A-3 Notes, Original Series B Notes and Original Series C Notes shall be substantially in the form set out in Exhibit 1(a)-1, Exhibit 1(a)-2, Exhibit 1(a)-3, Exhibit 1(a)-4, Exhibit 1(b) and Exhibit 1(c), respectively.

  • If the Calculation Agent shall fail or refuse to determine the Formula Rate on the Series A-3 Notes on any Interest Determination Date, the Formula Rate on the Series A-3 Notes shall be determined by a securities dealer appointed by the Issuer and capable, in the reasonable judgment of the Issuer, of making such a determination in accordance with the provisions of the Indenture and written notice of such determination shall be given by such securities dealer to the Indenture Trustee.

Series A-3 Notes means, collectively, the Series 1998A-3 Notes and the Series 1998A1-3 Notes.
Series A-3 Notes shall have the meaning specified in the Recitals.
Series A-3 Notes means the 6.602% Series A-3 Equipment Notes issued ---------------- pursuant to certain of the Indentures by United, and authenticated by the respective Indenture Trustee thereunder, and any such Equipment Notes issued in exchange therefor or replacement thereof pursuant to the terms of such Indenture.

  • Class A-3 Notes means the Class of Auto Loan Asset Backed Notes designated as Class A-3 Notes, issued in accordance with the Indenture.

  • Class A-4 Notes means the Class A-4 3.44% Asset-Backed Notes, substantially in the form of Exhibit A-4 to the Indenture.

  • Series C Notes is defined in Section 1.

  • Class A-3 Note means any of the 1.34% Asset Backed Notes, Class A-3, issued under the Indenture, substantially in the form of Exhibit A to the Indenture.

  • Class C Notes has the meaning assigned to such term in the Indenture.

  • B Notes means each of Note B-1 and Note B-2.

  • Series D Notes is defined in Section 1.

  • Class A-3 Note Balance means, at any time, the Initial Class A-3 Note Balance reduced by all payments of principal made prior to such time on the Class A-3 Notes.

  • Class A-2-A Notes has the meaning assigned to such term in the Indenture.

  • Class A-5 Notes means the $_________ Floating Rate Class A-5 Student Loan Asset-Backed Notes issued by the Trust pursuant to the Indenture, substantially in the form of Exhibit A thereto.

  • Class A-3 Noteholder means the Person in whose name a Class A-3 Note is registered on the Note Register.

  • Class A-2 Note means any of the 0.51% Asset Backed Notes, Class A-2, issued under the Indenture substantially in the form attached thereto as Exhibit A-1.

  • Class A-2-B Notes means the Class of Auto Loan Asset Backed Notes designated as Class A-2-B Notes, issued in accordance with the Indenture.

  • Class A-4 Note Balance means, as of any date, the Initial Class A-4 Note Balance reduced by all payments of principal made on or prior to such date on the Class A-4 Notes.

  • 2015 Notes means the 8.375% senior notes due 2015 in the principal amounts of $615 million and €500 million issued pursuant to the 2015 Notes Indenture.

  • Initial Class A-4 Note Balance means $125,000,000.

  • A Notes means each Note that has a designation starting with “A”, either individually or in the aggregate as the context may require.

  • Class A-4 Noteholder means the Person in whose name a Class A-4 Note is registered in the Note Register.
