Series B Dividend Amount definition

Series B Dividend Amount means, (i) with respect to Series B PIK Dividends, a fraction of one share of Series B Redeemable Preferred Stock equal to eight percent (8.0%) per annum of one share of the Series B Redeemable Preferred Stock prorated for any partial year, and (ii) with respect to Series B Redeemable Preferred Stock cash dividends, a cash amount equal to eight percent (8.0%) per annum of the Series B Initial Purchase Price Per Share of all issued and outstanding shares of the Series B Redeemable Preferred Stock, in each case computed on the basis of the actual days elapsed in a year 360 days and cumulated quarterly.
Series B Dividend Amount means, with respect to each share of Series A Preferred Stock, the aggregate cumulative and unpaid dividends which have accrued through the Closing
Series B Dividend Amount means, with respect to each share of Series A Preferred Stock, the aggregate cumulative and unpaid dividends which have accrued through the Closing Date in respect of such share of Series B Preferred Stock as determined pursuant to Article V, Section A4 of the Company Charter.

Series B Dividend Amount means, with respect to each share of Series A Preferred Stock, an amount equal to (1) 12% per annum, accruing and compounding on a quarterly basis, of the sum of (i) $2.36918 plus (ii) all accumulated and unpaid dividends thereon, less (2) any dividends previously paid on such share.
Series B Dividend Amount means that dollar amount of dividends that have accrued but have not been paid in respect of a share of Company Series B Preferred Stock, which dollar amount is equal to $0.056 (as adjusted for any stock splits, stock dividends, combinations, subdivisions, recapitalizations or the like with respect to the Company Series B Preferred Stock occurring after the date of this Agreement and prior to the Closing) per annum for each share of Company Series B Preferred Stock, calculated from the date of first issuance by the Company of shares of Company Series B Preferred Stock through and including the date immediately preceding the Closing Date.   • Dividend Amount means, with respect to any date on which the Company pays a dividend on its outstanding Common Stock, the amount of such dividend that is paid per share of Common Stock multiplied by (x) the Purchase Amount divided by (y) the Liquidity Price (treating the dividend date as a Liquidity Event solely for purposes of calculating such Liquidity Price).

  • Initial Dividend Rate means, with respect to a series of APS, the rate per annum applicable to the Initial Dividend Period for such series of APS.
