Series B Portion definition

Series B Portion has the meaning set forth in item I.B of Schedule B to the Lease.
Series B Portion means that portion of the Capitalized Cost which is equal to the sum of the aggregate principal amount outstanding of the Construction B-Notes and the B-Notes.
Series B Portion means the Merger Consideration multiplied by a fraction, the numerator of which equals the number of shares of the Company's Series B Preferred Stock, $.001 par value per share ("COMPANY SERIES B PREFERRED STOCK") outstanding immediately prior to the Effective Time multiplied by the number of shares of Company Common Stock into which each share of Company Series B Preferred is then convertible and the denominator of which equals the total number of shares of the Company's Common Stock (whether Company Class A Common Stock or Company Class B Common Stock) (collectively, the "COMPANY COMMON STOCK"), outstanding immediately prior to the Effective Time assuming the exercise and/or conversion of the Silicon Warrant and all Company Options (whether or not then exercisable) then outstanding and the conversion of all Company Preferred Stock (including, without limitation, the Company Series A Preferred Stock and Series B Preferred Stock) into Company Common Stock prior to the Effective Time (such denominator, the "COMPANY FULLY DILUTED SHARES");
