Series E Parity Securities definition

Series E Parity Securities means the Series A Preferred Units, the Series B Preferred Units, the Series C Preferred Units, the Series D Preferred Units and any class or series of Partnership Interests established after the Series E Original Issue Date by the General Partner, the terms of which class or series expressly provide that it ranks on parity with the Series E Preferred Units as to distributions and amounts payable upon a dissolution or liquidation pursuant to Article XII.

Examples of Series E Parity Securities in a sentence

  • After such allocations have been made to the Outstanding Series E Preferred Units and any Series E Parity Securities, as applicable, any remaining Net Termination Gain or Net Termination Loss shall be allocated to the Partners pursuant to Section 6.1(c) or Section 6.1(d), as the case may be.

  • Other than Series E PIK Preferred Units issued in connection with the Series E Quarterly Distribution, the Partnership shall not, without the affirmative vote of the holders of a majority of the Outstanding Series E Preferred Units, issue any Series E Parity Securities or Series E Senior Securities.
