Service Items definition

Service Items means the certain services, utilities, materials and facilities, as more fully described on Exhibit A, to be provided by the Related Refinery Owner to the Relevant Asset Owner that are necessary to operate and maintain the Relevant Assets as currently operated and maintained.
Service Items means the individual service items included within the various Service Categories identified on Exhibit A or otherwise agreed by the parties.
Service Items means individual element(s) of the Systems (whether hardware, software, firmware or peripherals) to be managed/maintained under this Agreement as set out in Schedule Part 6.

Examples of Service Items in a sentence

  • Buyer represents and warrants that it is not on any U.S. or other applicable restricted party lists (or owned 50% or more by one or more restricted party) and will not directly or indirectly engage in any transaction involving the Products, Services or Service Items with entities or persons subject to U.S. or other applicable restrictions on transactions.

  • Buyer agrees and acknowledges that certain Products, Services and Service Items may be subject to export or import control restrictions, as indicated by the export control and harmonized tariff classification on the commercial invoice, if applicable.

  • If the Agreement obligates Timken to provide traceability on Products or Service Items, Timken’s obligation with respect to Products and Service Items returned to Timken (a) is limited by the accuracy and completeness of the information provided by Buyer with respect to the returned Products and Service Items, and (b) will terminate if the return was not authorized in advance by Timken.

  • Timken is under no obligation to provide traceability on Products or Service Items unless expressly agreed in advance in writing by Timken.

  • BMC owns all right, title and interest in all software, programming, documentation, templates, questionnaires, methodologies, models, charts, reports, ideas, features, content, functions, graphics and any other items provided as part of the Subscription Services (“ Service Items”) and access to and use of the relevant Service Items will be governed by the terms of this Agreement.

  • As between Customer and BMC, BMC owns all rights, title, and interest in all Services, Service Items, and IPRs, and Customer’s access and use of Services, Service Items, and IPRs shall be governed by the terms of this Agreement.

  • Customer agrees that BMC shall have a royalty-free, worldwide, transferable, sublicenseable, irrevocable, perpetual license to use or incorporate into any BMC products or services any suggestions, enhancement requests, recommendations or other feedback provided by Customer or Users relating to the Services or Service Items, excluding Customer Data.

  • Buyer will comply with all applicable trade laws and regulations affecting any Products, Services or Service Items supplied by Timken, including applicable United States, foreign and local laws and regulations.

  • BMC owns all right, title and interest in all software, programming, documentation, templates, questionnaires, methodologies, models, charts, reports, ideas, features, content, functions, graphics and any other items provided as part of the Subscription Services (“Service Items”) and access to and use of the relevant Service Items will be governed by the terms of this Agreement.

  • The Services and Service Items are protected by applicable copyright, trade secret, industrial and other intellectual property laws and rights under such laws (“IPRs”).


More Definitions of Service Items

Service Items. The service items shall consist of: (i) account management oversight by the Director of Travel, whose responsibilities include management of the WorldTravel BTI onsite operation, vendor contract negotiations, vendor mandate compliance and management of the operating budget, (ii) the services of the Corporate Hotel Program Administrator, whose responsibilities include contract negotiations and management of the global hotel program, and (iii) rental of space to travel agents dedicated to the Acquired Companies in the Seller’s facilities (collectively, the “Shared Travel Management Services”); provided, however, that the Shared Travel Management Services will be consistent with, and only to the extent of, the past practices of Seller prior to the date of this Agreement with respect to the provision of such Shared Travel Management Services to the Acquired Companies, and shall not include any services to be provided by WorldTravel BTI to the Acquired Companies, or any associated obligations, costs and expenses of such services to be provided by WorldTravel BTI, pursuant to the agreement between the Acquired Companies and WorldTravel BTI with respect to the provision of certain travel services (the “Acquired Companies/WorldTravel Agreement”). Seller will use reasonable efforts to include the Acquired Companies in Seller’s volume discount programs with third party providers of travel services. In the event that Seller is advised by any such third party provider that it will not be able to include the Acquired Companies in any volume discount program, Seller shall promptly inform Purchaser of that fact. Purchaser acknowledges and agrees that the Acquired Companies are party to the Acquired Companies/WorldTravel Agreement, and Seller is not responsible in any manner for any of the services, obligations, costs or expenses covered by the Acquired Companies/WorldTravel Agreement. Cost of Services: $16,000 per month, for the period ending December 31, 2004. In the event that Seller provides travel services after December 31, 2004, the cost of those services shall be negotiated in good faith by the parties. If travel services are provided for a portion of a month, the cost of services will be pro rated for the number of days in the month for which such services are provided.
Service Items. Provision of services relating to international cash management and currency management, and advisory services relating to domestic cash management. Seller shall not be required, directly or indirectly, to advance its own funds to Purchaser. Cost of Services: $30,000 per month. If treasury services are provided for a portion of a month, the cost of services will be pro rated for the number of days in the month for which such services are provided.

Related to Service Items

  • Service Information means information concerning the Services provided by the Contractor to the Authority in accordance with Clause 32.1 for inclusion in the Authority's catalogue and/or any Beneficiary's catalogue from time to time;

  • Planned Service Interruption means a Service Interruption that has been scheduled to occur in accordance with Schedule 5;

  • Service Interruption means the cessation of electricity supply to an ICP for a period of 1 minute or longer, other than by reason of De-energisation of that ICP:

  • Custom Local Area Signaling Service Features (CLASS) means certain call-management service features that are currently available from SBC-13STATE’s local networks. These could include: Automatic Call Back; Automatic Recall; Call Trace; Caller Identification and related blocking features; Calling Number Delivery; Customer Originated Trace; Distinctive Ringing/Call Waiting; Selective Call Forward; and Selective Call Rejection.

  • 911 Service means a universal telephone number which gives the public direct access to the Public Safety Answering Point (“PSAP”). Basic 911 service collects 911 calls from one or more local exchange switches that serve a geographic area. The calls are then sent to the correct authority designated to receive such calls.
