If Licensee decides to use a Third Party Service, Licensee will be responsible for reviewing, understanding and accepting the terms and conditions associated with such use.

In the event a court or state or federal agency of binding jurisdiction were to conclude that internet service provided pursuant to this Telecommunications License is not a Telecommunications Service, Licensee agrees that all terms and conditions of this Telecommunications License will nonetheless be applicable to and binding on Licensee and the provision of internet service over Licensee’s facilities in the Public Way, except to the extent expressly prohibited by law.
Thereafter, when Licensee makes any modification that results in a material adverse change to the picture quality and user experience of the SVOD Service, Licensee shall so notify Licensor, and Licensor shall have the right to inspect and approve such modified picture quality and user experience.

To the extent that Licensee shall have Errors and Omissions Insurance with regard to its operation of the Licensed Service, Licensee shall provide that Licensor is named as an additional insured on such Errors and Omissions Insurance policy and Licensee will pass through to Licensor the benefit of any of its indemnities from product suppliers.
