Service of definition

Service of an Offer Notice shall be deemed an irrevocable offer by the Offering Shareholder to sell the Offered Interest to the Offeree upon the terms and subject to the conditions therein provided. For a period of 30 (thirty) calendar days following the service of the Offer Notice ("the Option Period") the Offerees, if more than one, shall have the option to purchase such number of shares constituting the Offered Interest which is calculated using the following formula: the numerator shall be the number of shares being sold by such Shareholder and the denominator shall be the total number of issued shares in the Company, excluding for these purposes the shares constituting the Offered Interest, multiplied by the number of Shares held by the Offeree, ("Proportional Number"). If any Offeree does not exercise its right to purchase its Proportional Number, then such Offeree's Proportional Number ("the Remaining Number") shall be offered to the other Offerees on a pro rata basis or such other basis as may be agreed between the other Offerees.
