Service Provider Subcontractors definition

Service Provider Subcontractors means a person engaged by Service Provider in accordance with the terms of this Agreement, as an independent contractor to perform, or to assist from time to time in performing, one or more of the Services to be arranged or performed by Service Provider under the Agreement, together with its agents, officers and employees;
Service Provider Subcontractors means any entity that is contractually obligated to provide or assist Service Provider in the provision of Services, other than Client, and excludes Exult Canada Affiliates, but includes subcontractors of Exult Canada Affiliates.

  • The Service Provider, Subcontractors, and their Personnel shall pay such taxes, duties, fees, and other impositions as may be levied under the Applicable Law, the amount of which is deemed to have been included in the Contract Price.

  • Customer will be granted (a) the right to monitor and inspect the Service Provider Subcontractors upon reasonable notice; and (b) the right to obtain information from Service Provider about the substance of the sub-contract and the implementation of the data protection obligations within the sub-contract relationship, upon written request.

  • In that event, Client Account Manager and Service Provider Account Manager will meet to decide which of Service Provider Personnel and Service Provider Subcontractors should sign additional confidentiality agreements and Service Provider will arrange for Service Provider Personnel and Service Provider Subcontractors to sign such agreements before Client discloses such Confidential Information to Service Provider Personnel and Service Provider Subcontractors.

  • Client will look solely to Service Provider for performance delivered through Service Provider Subcontractors and Third Party Vendors under Assigned Agreements and Replacement Agreements.

  • No officer, director or employee of Service Provider, Exult Canada Affiliates or Service Provider Subcontractors or any Service Provider Representative retained by Service Provider to perform work on Client Group’s behalf under this Agreement shall be deemed to be an employee of Client Group or a Client Representative.

  • Client Data shall not be (i) used by Service Provider other than in connection with providing the Services, (ii) subject to Section 19.06 (Compilations), disclosed, sold, assigned, leased or otherwise provided to third parties by Service Provider, or (iii) commercially exploited by or on behalf of the Service Provider, its employees or agents or Service Provider Subcontractors.

  • Service Provider Personnel means and refers to Service Provider employees or subcontractors hired and maintained to perform Services hereunder.

  • Subcontractors means subcontractors or subconsultants at any tier that are under the direct or indirect control or responsibility of the Contractor, and includes all independent contractors, agents, employees, authorized resellers, or anyone else for whom the Contractor may be liable at any tier, including a person or entity that is, or will be, providing or performing an essential aspect of this Contract, including Contractor’s manufacturers, distributors, and suppliers.

  • Key Subcontractor means any subcontractor that will (a) fill any of the following key project roles: project management, lead design firm, quality control management, and quality assurance management or (b) serve as a key task leader for geotechnical, hydraulics and hydrology, structural, environmental, utility or right-of-way issues. See Form Q.

  • Sub-subcontractor means any Person, including an Equipment supplier or vendor, who has a direct or indirect contract with a Subcontractor or another Sub-subcontractor to manufacture or supply Equipment which comprises a portion of the Work, to lease Construction Equipment to Subcontractor or another Sub-subcontractor in connection with the Work, to perform a portion of the Work or to otherwise furnish labor or materials.

  • Provider Personnel means all persons employed or engaged by the Provider together with the Provider’s servants, agents, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, Provider’s and Sub-Contractors) used in the performance of its obligations under this Agreement;
