Service Provider Subcontractors definition

Service Provider Subcontractors means a person engaged by Service Provider in accordance with the terms of this Agreement, as an independent contractor to perform, or to assist from time to time in performing, one or more of the Services to be arranged or performed by Service Provider under the Agreement, together with its agents, officers and employees;
Service Provider Subcontractors means any entity that is contractually obligated to provide or assist Service Provider in the provision of Services, other than Client, and excludes Exult Canada Affiliates, but includes subcontractors of Exult Canada Affiliates.

  • Service Provider will be responsible for any and all security breaches (i) at any Service Provider Locations and work-at-home locations, or (ii) caused by Service Provider, Subcontractors, or their personnel or representatives.

  • In that event, Client Account Manager and Service Provider Account Manager will meet to decide which of Service Provider Personnel and Service Provider Subcontractors should sign additional confidentiality agreements and Service Provider will arrange for Service Provider Personnel and Service Provider Subcontractors to sign such agreements before Client discloses such Confidential Information to Service Provider Personnel and Service Provider Subcontractors.

  • No officer, director or employee of Service Provider, Exult Canada Affiliates or Service Provider Subcontractors or any Service Provider Representative retained by Service Provider to perform work on Client Group’s behalf under this Agreement shall be deemed to be an employee of Client Group or a Client Representative.

  • Any archival tapes containing the Customer Data will be used by Service Provider, Subcontractors and such third parties solely for back-up purposes.

  • Service Provider shall ensure that all Service Provider Subcontractors are bound in writing by provisions substantially similar to this Article 19.

  • Service Provider will, both during and after its engagement by Client, execute all such documents as Client may reasonably request (and where necessary will procure its employees, and will contractually obligate its agents and Service Provider Subcontractors to execute all such documents as Client may reasonably request) and do all acts and things reasonably necessary so that all right, title and interest in and to the Client Documentation vests in Client or as Client directs.

  • Except as expressly limited by this Agreement, the Service Agreements, Schedules, Exhibits and Appendices, Service Provider shall be responsible for and have the sole right to supervise, manage, contract, direct, procure, perform and cause to be performed, all work to be performed hereunder by Service Provider, Exult Canada Affiliates and Service Provider Subcontractors.

  • Service Provider shall inform Allegheny of all subcontracts or Third Party Contracts primarily used by Service Provider, Service Provider Subcontractors or Service Provider Affiliates to perform the Services.

Related to Service Provider Subcontractors

  • Service Provider Personnel means and refers to Service Provider employees or subcontractors hired and maintained to perform Services hereunder.

  • Subcontractors means subcontractors or subconsultants at any tier that are under the direct or indirect control or responsibility of the Contractor, and includes all independent contractors, agents, employees, authorized resellers, or anyone else for whom the Contractor may be liable at any tier, including a person or entity that is, or will be, providing or performing an essential aspect of this Contract, including Contractor’s manufacturers, distributors, and suppliers.

  • Sub-subcontractor means any Person, including an Equipment supplier or vendor, who has a direct or indirect contract with a Subcontractor or another Sub-subcontractor to manufacture or supply Equipment which comprises a portion of the Work, to lease Construction Equipment to Subcontractor or another Sub-subcontractor in connection with the Work, to perform a portion of the Work or to otherwise furnish labor or materials.

  • Provider Personnel means all persons employed or engaged by the Provider together with the Provider’s servants, agents, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, Provider’s and Sub-Contractors) used in the performance of its obligations under this Agreement;

  • Contractors means the bidder whose bid has been accepted by the COE;

  • Internet Service Provider (ISP) means an Enhanced Service Provider (ESP) that provides Internet Services.

  • The Service Provider means the organization or firm providing the services under this Contract.

  • First-tier Subcontractor means any Subcontractor that has a contract with the General Contractor.

  • Subcontractor means any supplier, distributor, vendor, or firm that furnishes supplies or services to or for a prime contractor or another subcontractor.

  • Contractor Personnel means and refers to Contractor’s employees and employees of Contractor’s permitted subcontractors or permitted agents assigned by Contractor to perform Services under this Contract.

  • Contractor's Personnel means the personnel to be provided by the Contractor to provide services as per the contract.

  • Service Provider Materials means all works of authorship, products and materials [including, but not limited to, data, diagrams, charts, reports, specifications, studies, inventions, software, software development tools, methodologies, ideas, methods, processes, concepts and techniques] owned by, or licensed to, the Service Provider prior to the Commencement Date or independently developed by the Service Provider outside the scope of this Agreement at no expense to Transnet, and used by the Service Provider in the performance of the Services;

  • Third Party Service Providers means any third party wherever situated selected by us or any member of the BEA Group to provide services to it.

  • Service Subcontract means a subcontract primarily for the furnishing of services, to or for a recipient of Assistance, except where services are incidental to the delivery of products, equipment or commodities. A contract for the purchase or lease of goods, products, equipment, supplies or other property is not a “service subcontract” for the purposes of this definition.

  • Major Subcontractor means a Subcontractor who enters into a Major Subcontract.

  • Third Party Contractor as used in the Student Data Protection Act and “Operator” as used in COPPA. De-Identified Information (DII): De-Identification refers to the process by which the Contractor removes or obscures any Personally Identifiable Information (“PII”) from Education Records in a way that removes or minimizes the risk of disclosure of the identity of the individual and information about them.

  • Contractor Project Manager means the employee identified in a Statement of Work as the Contractor project manager.

  • Lower tier subcontractor means any party entering into an agreement with the SUBCONTRACTOR or any Lower Tier SUBCONTRACTOR for the furnishing of supplies or services required for performance of this Subcontract.

  • Sub-Contractors means those persons furnishing labor or materials for the Project pursuant to the Sub- Contracts.

  • Local Service Provider (LSP means the LEC that provides retail local Exchange Service to an End User. The LSP may or may not provide any physical network components to support the provision of that End User’s service.

  • Subcontractor employee, as used in this clause, means any officer, partner, employee, or agent of a subcontractor.

  • Supplier Personnel means Supplier’s employees, consultants, agents, independent contractors and Subcontractors.
