Service Recipient Materials definition

Service Recipient Materials has the meaning provided in Section 21.3.
Service Recipient Materials means materials owned or licensable by the Service Recipient and provided in connection with the receipt of Services;
Service Recipient Materials means any Service Recipient policies, software, Service Recipient Data, calculations, algorithms, methods, information and other materials created or supplied by Service Recipient; Service Standards means to no lesser standard of care, skill and diligence than that used by Supplier when providing the relevant Services in its own operations, which failing where circumstances justify, a reasonable standard of care, skill and diligence; and Suppliers Site means the website Participants are redirected to in order to participate in the Event, or any other activity.

  • No ownership of Service Recipient Materials or the Intellectual Property Rights in and to them is or shall be transferred to Service Provider except as provided in this section.

  • Each Party grants to the other Party a non-exclusive, non-assignable, worldwide, royalty-free, non-transferable, and non-sublicensable (except to the Third Party Suppliers of the other Party acting as a Service Provider) license for the Term to use such Party’s Service Provider Materials and Service Recipient Materials (as applicable) solely as necessary for the other Party to use or provide the Services, as applicable, and to otherwise perform its obligations hereunder.

  • During the term of this Agreement, Service Provider will timely provide Service Recipient with access to the Service Recipient Materials and the Service Provider Licensed Materials, as reasonably requested by the Service Recipient.

  • Upon request of Service Recipient from time to time, at Service Recipient's expense, Service Provider shall promptly take such actions and execute and deliver such documents as may reasonably be necessary or appropriate to record, register, perfect or memorialize the foregoing disposition of right, title and interest in the Service Recipient Materials.

  • Each Service Recipient shall be the sole and exclusive owner of all data that relates solely to, and all source code and other results and proceeds of TSA Services and Additional Services created solely for, such Service Recipient by Service Provider, and any third party materials created solely for such Service Recipient and to which Service Provider has ownership rights, excluding only Excluded Works (the "Service Recipient Materials").

  • The parties agree that the Service Recipient Materials shall be considered "works made for hire" (within the meaning of the United States Copyright Law) of Service Recipient and that Service Recipient shall solely and exclusively own the Service Recipient Materials in whatever stage of completion in which they may exist from time to time.

  • Upon termination of this Agreement, Service Provider shall promptly archive and/or purge from its Systems in accordance with its then-current Policies and procedures (and shall purge or cause to be purged from the systems of Service Provider's Subcontractors, as the case may be) all remaining Service Recipient Materials in its possession and shall deliver such Service Recipient Materials and a true, complete and current copy of the remaining Service Provider Licensed Materials to Service Recipient.

  • Client Materials means the CLIENT Development Materials and the CLIENT Production Materials.

  • Service Recipient means, with respect to a Participant holding a given Award, the member of the Company Group by which the original recipient of such Award is, or following a Termination was most recently, principally employed or to which such original recipient provides, or following a Termination was most recently providing, services, as applicable.

  • Service Provider Personnel means and refers to Service Provider employees or subcontractors hired and maintained to perform Services hereunder.

  • The Services means those services ancillary to the supply of the Goods, such as transportation and insurance, and any other incidental services, such as installation, commissioning, provision of technical assistance, training, and other such obligations of the Supplier covered under the Contract.

  • Internet Service Provider (ISP) means an Enhanced Service Provider (ESP) that provides Internet Services.

  • Platform Services means the products and services that Platform Users receive from a Stripe Connect Platform, regardless of whether fees are charged (e.g., web development, customer support or hosting services).

  • Video service provider or "provider" means a person authorized under this act to provide video service.

  • Custom Materials means Materials developed by the Supplier at the Procuring Entity's expense under the Contract and identified as such in Appendix 5 of the Contract Agreement and such other Materials as the parties may agree in writing to be Custom Materials. Custom Materials includes Materials created from Standard Materials.

  • Cloud Service Provider or CSP means a company or organization that offers some component of cloud computing – typically Infrastructure as a Service (IaaS), Software as a Service (SaaS) or Platform as a Service (PaaS) – to other businesses, organizations or individuals.

  • Service Provider means an Employee, Director or Consultant.

  • Client Data means personal data of data subjects, such as your employees, associates or partners, that is provided to S&P Global Ratings during the provision by S&P Global Ratings of the Services to you, such as name, job title, name of employer, office email address, office physical address, internet protocol address, office telephone number and language selection (and excludes special categories of personal data);

  • Sub-Service Provider means any person / firm / Organization / company /entity (other than the Service Provider) and it’s legal representatives, successors and permitted assigns named in the Contract as a Sub-Service Provider for a part of the Services or to whom a part of the Services has been sub-Contracted with the written prior consent of the Employer.

  • ACS means “asset-controlling supplier” as that term is defined in the Cap and Trade Regulations.

  • The Service Provider means the organization or firm providing the services under this Contract.

  • Third Party Material means software, software development tools, methodologies, ideas, methods, processes, concepts and techniques owned by, or licensed to a third party and used by the Service Provider in the performance of the Services;

  • Service Data means all electronic data, text, messages, communications or other materials submitted to and stored within a Service by Subscriber, Agents and End-Users in connection with Subscriber’s use of such Service, excluding Agent Contact Information.
