The Services Addenda are hereby incorporated by reference into this Agreement.
For all Services Addenda under which the Bank or a Bank subsidiary is providing services that include Shared Employees, the Bank shall be reimbursed pursuant to a calculation based on an estimate of the percentage of time spent by the Shared Employee on non-bank matters.
This Agreement, the Agreement Addendum and the Services Addenda constitute the final agreement between the parties.
Each Party agrees to provide to and purchase from the other party, the service(s) ("Services") described in any Services Addenda referencing this Agreement and incorporated by reference to this Agreement.

Accordingly, no provision in any Services Addenda related to billing, invoicing, or automatic renewal shall apply to You.
Appendix 1 – Data Privacy and Information Security is hereby incorporated by reference into this Agreement and into all Services Addenda outstanding hereunder from time to time.
University shall have other responsibilities related to the provision of Services by Provider, as set forth in Exhibit B and in any Services Addenda.
Thereafter, subject to Section 3.3 (Services Addenda) of the Agreement, and in the course of providing the Services, Provider will use commercially reasonable efforts to improve the systems and functionality of the Platform and develop additional systems and functionality to improve the Platform’s learning experience for University faculty and students.
