As part of the Services, Contractor must provide to System Agency upon request a copy of those portions of Contractor's and its Subcontractors' internal audit reports relating to the Services and Deliverables provided to the State under the Contract.
The Services and Deliverables must meet the following acceptance criteria or the JBE may reject the applicable Services or Deliverables.
All Goods, Services, and Deliverables are subject to acceptance by the JBE.
The JBE may use the attached Acceptance and Signoff Form to notify Contractor of the acceptance or rejection of the Services and Deliverables.
Contractor must act to ensure its and its Subcontractors’ compliance with all corrections necessary to address any finding of noncompliance with any law, regulation, audit requirement, or generally accepted accounting principle, or any other deficiency identified in any audit, review, or inspection of the Contract and the Services and Deliverables provided.
Except as set forth in this section, no expenses relating to the Goods, Services, and Deliverables shall be reimbursed by the JBE.
Oracle grants Client a worldwide, non-sublicenseable, non-transferable, royalty-free license to Oracle materials incorporated in the Deliverables or otherwise necessary for Client to use the Services and Deliverables solely for (a) internal purposes and not for publication or other distribution or communication to the public (unless expressly authorised in writing); and (b) solely for the purposes of the relevant project and in the manner envisaged by the SOW.
Except as otherwise set out in this Section 6, upon receipt by Oracle of full payment for the Services and Deliverables under the applicable SOW, Client shall be the sole and exclusive owner of all right, title and interest in and to the Deliverables, excluding Oracle materials, social data, third-party materials, or any other information specifically identified in the SOW as being excluded.

The System Agency may terminate the Contract if, in its sole discretion, the System Agency has a good faith belief that Grantee no longer maintains the financial viability required to complete the Services and Deliverables, or otherwise fully perform its responsibilities under the Contract.
