The services to be provided by Consultant will not be in connection with the offer or sale of securities in a capital-raising transaction, and will not directly or indirectly promote or maintain a market for Client's securities.

Services of Consultant. 2.1 The Services that Consultant shall perform are more particularly described in Exhibit “A,” entitled “Scope of Services,” which is attached hereto and incorporated herein by reference. 2.2 Consultant shall comply with applicable federal, state and local laws and regulations in the performance of this Agreement including, but not limited to State prevailing wage laws.

All plans shall be prepared on CADD as required by City. The final original plans shall be submitted on 3 ml double matte black line mylar and shall be 24” x 36” in size. This paragraph for Building design only. 1.6. Consultant shall design the Project within the allotted budget of /. Sufficient alternatives shall be included in the bid package to allow City to construct the facilities. 1.7. This paragraph for Building design only. Consultant shall be responsible to redesign the Project at no additional cost to City if required to build within the Contract specified budget. 1.8. Consultant shall submit all final construction documents in both hard copy and electronic format. Plans shall be MicroStation or AutoCAD compatible and all other documents shall be Microsoft Office compatible. The software version used shall be compatible to current City standards. Other support documents, for example, structural calculations, drainage reports and geotechnical reports, shall be submitted in hard copy only. 1.9. Consultant shall obtain all necessary permits and licenses required for the performance of its work. Consultant shall provide construction management services, as described in Exhibit “A” attached. 1.2. Consultant has assigned Xxxxxx Xxxxx as the project manager for this Contract. Prior written approval by City is required in the event Consultant needs to change the project manager. Consultant shall submit the qualifications of the proposed substituted personnel to City for approval prior to any substitution or change. 1.3. Consultant shall obtain all necessary permits and licenses required for the performance of its work. Failure of Consultant to obtain said permits prior to the commencement of its work shall constitute a breach of this Contract. 1.4. Consultant shall perform the work in a manner and at times which do not impede or delay City’s operations and/or functions. 1.5. Consultant shall be solely responsible for any repair, replacement, remediation and/or clean-up of any damage done by Consultant including any impairment of access to City or other lawful invitees, by such work performed on this Project.
Services of Consultant. Consultant shall provide consultancy and advisory services as a member of the XsunX Scientific Advisory Board under the title of Chairman of the Scientific Advisory Board. Notwithstanding the foregoing title Consultant shall remain an independent contractor. Consultant agrees to devote Consultant's best efforts, skills, and technical expertise to the business of the Company, to do Consultant's utmost to further enhance and develop the interests and welfare of the Company, and to devote necessary time and attention to the business of the Company, while recognizing Consultant's duties to CSM. 3.2. Consultant shall truthfully and accurately make, maintain and preserve all records and reports that the Company may, from time to time, request or require, and shall fully account for all money, records, equipment, materials or other property belonging to the Company of which Consultant may have custody and shall pay over and deliver same promptly whenever and however Consultant may be directed to do so. 3.3. Consultant shall make available to the Company any and all information of which Consultant has knowledge that is relevant to the Company's business, but is not otherwise prohibited from disclosing, and make all suggestions and recommendations which Consultant believes will be of benefit to the Company. 3.4. Consultant shall, at his own cost, prepare for and attend such meetings as may be reasonably requested by the Company, provided, however, that the Company shall pay for the reasonable travel and lodging costs incurred by Consultant in regard to the foregoing. Company shall have the right to request changes to the Danforth personnel at any time in writing. If Company makes a written request, Xxxxxxxx shall replace such personnel subject to the Company’s right of pre-approval.
