To the extent you provide services of the type contemplated by a Fund's (Class') Rule 12b-1 Plan or Shareholder Servicing Plan (each a "Plan"), the Distributor will make payments to you as set forth in that Plan.
The compensation provisions of Section 3 related to Distribution and Servicing Plans also may be terminated at any time with respect to any Fund without payment of any penalty, to the extent required by applicable law, rule or regulation or provided in the Distribution and Servicing Plan, by vote of a majority of the Disinterested Directors of the applicable Company, or by vote of a majority of the outstanding voting securities of such Fund on 60 days’ written notice.
In the event: (i) of an assignment (within the meaning of the ▇▇▇▇ ▇▇▇) of this Agreement or (ii) any Distribution and Servicing Plan terminates, is not continued or ceases to remain in effect, then the provisions of this Agreement relating to such plan automatically shall terminate with respect to the Shares covered by such assignment or such terminated plan, to the extent required by applicable law, rule or regulation or the terms of the applicable plan.
Notice of termination of the Shareholder Servicing Plan by the Board of Trustees, pursuant to which this Agreement has been entered, shall constitute a notice of termination of this Agreement.
Dealer shall promptly deliver to the Board of Trustees of the Fund such information as is reasonably necessary to permit the Board of Trustees to make an informed determination whether to continue the applicable Distribution and Servicing Plan or any of them or this Section 12.
The Fund has adopted a Shareholder Servicing Plan by which Authorized Service Providers may receive a fee for providing certain services to their customers who own Shares of the Fund.
This Section 12 may be terminated at any time with respect to the Fund without payment of any penalty, by vote of a majority of the Independent Trustees of the Fund (as defined in the applicable Distribution and Servicing Plan) or by vote of a majority of the outstanding voting securities of the Fund on not more than 60 days’ written notice to the parties to this Agreement.

The Distributor may use such payments, in its discretion, to compensate dealers, insurance companies or other entities who provide distribution-related services to the extent permitted by the Distribution and Shareholder Servicing Plan.
For its services as servicing agent of Class D shareholders and Class D shareholder accounts, the Trust shall pay the Distributor on behalf of the Fund a servicing fee at the annual rate of 0.25% of the Fund’s average daily net assets attributable to the Fund’s Class D shares upon the terms and conditions set forth in the current Servicing Plan for Class D shares.
