Servicing Transfer Procedures. The provisions set forth in Exhibit H attached hereto.
Servicing Transfer Procedures means, with respect to any Subject Servicing Agreement, the servicing transfer procedures set forth in the related Subservicing Supplement.
Servicing Transfer Procedures. With respect to each Mortgage Loan which is not a Prior Ditech Serviced Loan, the procedures with respect to the transfer of subservicing of such Mortgage Loans to the Subservicer as set forth in Exhibit D hereto as may be amended from time to time as mutually agreed by the prior servicer and the Subservicer. The Subservicer shall (i) provide written notice to the Owner/Servicer of amendments or modifications to the Servicing Transfer Procedures at least thirty (30) days prior to the applicable Transfer Date and (ii) ensure that the Servicing Transfer Procedures comply with Applicable Requirements.

  • After the Servicing Transfer Date, Seller agrees to reimburse Purchaser, in the manner set forth in the Servicing Transfer Procedures, an amount equal to the Reimbursement Amount with respect to Mortgage Loans that are fully repaid and cancelled by the respective Borrower or Borrowers during a period of one (1) year from the Servicing Transfer Date which Mortgage Loans are replaced by mortgage loans originated by Seller as a result of Seller’s breach of Section 8.16 of this Agreement.

  • Sale Procedures Unless otherwise specified in the Supplement, shall mean that, with respect to any sale of one or more Underlying Securities or Related Assets, the Market Agent, on behalf of the Trust, shall sell such Underlying Securities or Related Assets to the highest bidders among not less than two solicited bidders for such Underlying Securities or Related Assets (one of which bidders may include Merrill Lynch & Co. or any Affiliate thereof; provided, however, that xxxxxxr Xxxxill Lynch & Co. nor any of its Affiliates will be under any obligxxxxx xo xxx, and which bidders need not be limited to recognized broker dealers). Minnesota Statute requires that the plan must, at least, list the restrictive procedures the school intends to use; describe how the school will monitor and review the use of restrictive procedures; and include a written description and documentation of the training school personnel completed.
