Seller shall have the right to review the Settlement Date Statement, together with any supporting documents reasonably requested by Seller to verify the accuracy and completeness of the valuations set forth therein and the Settlement Date Statement shall be revised by Purchaser to reflect any corrections agreed to by Purchaser and Seller.
If the Purchase Price for the Acquired Assets as reflected on the Settlement Date Statement is greater than the Purchase Price paid by Purchaser on the Closing Date, then Purchaser shall remit the difference to Seller, together with interest on such amount at the Federal Funds Rate divided by three hundred sixty (360) for each day during the period from the Closing Date to the Settlement Date.
