Settlement Interest definition

Settlement Interest means, with respect to any payment required to be made pursuant to Section 3.2(c) (a “Settlement Payment”), the sum of accrued interest on the amount of such Settlement Payment, calculated at the Settlement Rate as from time to time in effect, for the period from the Closing Date to and including the date upon which such Settlement Payment is made (calculated on the basis of the actual number of days elapsed in a year of 365 or 366 days, as the case may be).
Settlement Interest. — means, with respect to any payment required to be made pursuant to Section 3.2(c) (a “Settlement Payment”), the sum of accrued interest on the amount of such Settlement Payment, calculated at the Settlement Rate as from time to time in effect, for the period from the Closing Date to and including the date upon which such Settlement Payment is made (calculated on the basis of the actual number of days elapsed in a year of 365 or 366 days, as the case may be).
Settlement Interest shall refer to the amount obtained by accruing interest daily on the Settlement Payment at the Settlement Rate in effect from time to time for the period commencing on the date following the Closing Date to and including the date upon which the Settlement Payment is made.

Examples of Settlement Interest in a sentence

  • Any amounts paid under Section 8.3 or Section 8.5, shall bear interest for the period from and including the day following Bank Closing to and including the day preceding the payment at the Settlement Interest Rate.

  • The Receiver shall pay the Assuming Institution not later than the twentieth (20th) Business Day following receipt of related Credit Documents and Credit Files together with interest on such amount at the Settlement Interest Rate for the period from and including the date of receipt of such documents to and including the day preceding the day on which payment is made.

  • The Assuming Institution or the Receiver, as the case may be, shall pay the purchase price determined pursuant to this Section 3.4(d) not later than the twentieth (20th) Business Day following the applicable Put Date, together with interest on such amount at the Settlement Interest Rate for the period from and including such Put Date to and including the day preceding the date upon which payment is made.

  • The Receiver shall pay the Assuming Bank not later than the twentieth (20th) Business Day following receipt of related Credit Documents and Credit Files together with interest on such amount at the Settlement Interest Rate for the period from and including the date of receipt of such documents to and including the day preceding the day on which payment is made.

  • The Assuming Bank or the Receiver, as the case may be, shall pay the purchase price determined pursuant to this Section 3.4(d) not later than the twentieth (20th) Business Day following the applicable Put Date, together with interest on such amount at the Settlement Interest Rate for the period from and including such Put Date to and including the day preceding the date upon which payment is made.

  • On the Payment Date, the Assuming Bank will pay to the Corporation, or the Corporation will pay to the Assuming Bank, as the case may be, the Initial Payment, together with interest on such amount (if the Payment Date is not the day following the day of the Bank Closing Date) from and including the day following the Bank Closing Date to and including the day preceding the Payment Date at the Settlement Interest Rate.

  • Any amounts paid under Section 8.3 or Section 8.5 shall bear interest for the period from and including the day following the Bank Closing Date to and including the day preceding the payment at the Settlement Interest Rate.

More Definitions of Settlement Interest

Settlement Interest means interest on (i) the Purchaser Adjustment Amount, if such amount is greater than zero, at a rate per annum equal to the LIBOR Rate for the Expiration Date, for the period from and including the Expiration Date to but excluding the Settlement Date or other date when the Purchaser Adjustment Amount is paid; provided that Settlement Interest shall be zero (0) if the Purchaser pays the Purchaser Adjustment Amount in cash on the Final Settlement Date (without any extension pursuant to the definition of Final Settlement Date) in accordance with Section 3.01(e) hereof or (ii) the Seller Adjustment Amount, if such amount is greater than zero, at a rate per annum equal to the LIBOR Rate for the Expiration Date, for the period from and including the Expiration Date to but excluding the Settlement Date or other date when the Seller Adjustment Amount is paid; provided that Settlement Interest shall be zero (0) if the Seller pays the Seller Adjustment Amount in cash on the Final Settlement Date (without any extension pursuant to the definition of Final Settlement Date) in accordance with Section 3.01(e) hereof.
Settlement Interest means the amount of accrued interest on the Purchase Price (subject to Section 2.4(b)(ii) hereof) calculated at the Settlement Rate, as in effect on the date prior to the Funding Date for the period from the Effective Closing Date to, but not including, the Funding Date (calculated on the basis of the actual number of days elapsed in a year of 365 or 366 days, as the case may be).
Settlement Interest means interest on the applicable Adjustment Amount at a rate per annum equal to the LIBOR Rate for the applicable Adjustment Date, for the period from and including the applicable Adjustment Date to but excluding the applicable Settlement Date or other date when the applicable Adjustment Amount is paid. “Settlement Price” means, for any Purchase Date, the total price paid by Seller for shares of Common Stock purchased pursuant to Section 4.01(a) or Section 4.01(b). “Settlement Price per Share” means, for any Purchase Date, the Settlement Price for such Purchase Date, divided by the Daily Share Purchase Amount for such Purchase Date. “Share Deficit Notice Date” has the meaning set forth in Section 3.04(a). “Share De-listing Event” has the meaning set forth in Section 7.01(c). “Shelf Registration Request” has the meaning set forth in Section 3.06. “Strike Adjustment Amount” means an amount (which may be positive or negative), with respect to any Adjustment Date, equal to (i) the sum of the Strike Adjustment Amount Calculations for each day in the related Adjustment Period, divided by (ii) the sum of the Daily Share Purchase Amounts for each Purchase Date occurring during such Adjustment Period. 10

Related to Settlement Interest

  • Settlement Interest Rate means, for the first calendar quarter or portion thereof during which interest accrues, the rate determined by the Receiver to be equal to the equivalent coupon issue yield on twenty-six (26)-week United States Treasury Bills in effect as of Bank Closing as published in The Wall Street Journal; provided, that if no such equivalent coupon issue yield is available as of Bank Closing, the equivalent coupon issue yield for such Treasury Bills most recently published in The Wall Street Journal prior to Bank Closing shall be used. Thereafter, the rate shall be adjusted to the rate determined by the Receiver to be equal to the equivalent coupon issue yield on such Treasury Bills in effect as of the first day of each succeeding calendar quarter during which interest accrues as published in The Wall Street Journal.

  • Settlement Interval has the meaning set forth in the CAISO Tariff.

  • Investment interest means investment interest as defined in section 163(d)(3) of the Internal Revenue Code.

  • Current Interest With respect to each Class of Certificates and any Distribution Date, the aggregate amount of interest accrued at the applicable Certificate Interest Rate during the related Accrual Period on the Class Principal Amount or Class Notional Amount, as applicable, of such Class prior to any distributions of principal, allocations of Realized Losses or allocations of Certificate Writedown Amounts prior to such Distribution Date.

  • Late Payment Interest means and refer to interest on a particular Late Payment at the Default Rate.

  • Day-ahead Settlement Interval means the interval used by settlements, which shall be every one clock hour.

  • Settlement Amount has the meaning specified in Section 14.02(a)(iv).

  • Class X Interest The regular interest in the Class X REMIC represented by the Class X Certificates as specified and described in the Preliminary Statement and the related footnote thereto.

  • Class C Current Interest As of any Distribution Date, the interest accrued during the related Accrual Period at the Class C Distributable Interest Rate on a notional amount equal to the aggregate principal balance of the Lower Tier REMIC Regular Interests immediately prior to such Distribution Date, plus the interest portion of any previous distributions on such Class that is recovered as a voidable preference by a trustee in bankruptcy, less any Non-Supported Interest Shortfall allocated on such Distribution Date to the Class C Certificates.

  • Delayed Payment Interest Rate means the national average annual rate of interest payable on jumbo six-month bank certificates of deposit, as quoted in the business section of the most recently published Sunday edition of The New York Times preceding the Executive’s separation from service.

  • Daily Settlement Amount for each of the 40 consecutive Trading Days during the Observation Period, shall consist of:

  • Class A-1 Current Interest As of any Distribution Date, the interest accrued during the related Accrual Period at the Class A-1 Pass-Through Rate on the Class A-1 Certificate Principal Balance as of such Distribution Date plus the portion of any previous distributions on such Class in respect of Current Interest or a Class A-1 Interest Carry Forward Amount that is recovered as a voidable preference by a trustee in bankruptcy, less any Non-Supported Interest Shortfall allocated on such Distribution Date to the Class A-1 Certificates.

  • Settlement Payment means the transfer, or contractual undertaking (including by automated clearing house transaction) to effect a transfer, of cash or other property to effect a Settlement.

  • Class UT-R Interest The residual interest in the Upper-Tier REMIC as described in the Preliminary Statement and the related footnote thereto.

  • Contingent Interest has the meaning specified in Section 4.01.

  • Prepayment Interest Excess As to any Principal Prepayment received by the Master Servicer from the first day through the fifteenth day of any calendar month (other than the calendar month in which the Cut-off Date occurs), all amounts paid by the related Mortgagor in respect of interest on such Principal Prepayment. All Prepayment Interest Excess shall be paid to the Master Servicer as additional master servicing compensation.

  • Prepayment Interest Excess Amount With respect to any Principal Prepayment in full which is applied to the related Mortgage Loan from the first day of the month of any Remittance Date through the sixteenth day of the month of such Remittance Date, all amounts paid in respect of interest on such Principal Prepayment in full. A Prepayment Interest Excess Amount cannot result from a Principal Prepayment in part, but only from a Principal Prepayment in full.

  • Gross Settlement Amount means $240,000 which is the total amount Standard agrees to pay under the Settlement, except as provided in Paragraph 8 below. The Gross Settlement Amount will be used to pay Individual Class Payments, Individual PAGA Payments, the LWDA PAGA Payment, Class Counsel Fees, Class Counsel Expenses, Class Representative Service Payment and the Administrator’s Expenses.

  • Settlement Day means the Business Day which is 2 Business Days after the relevant Dealing Day (or such Business Day as is permitted in relation to such Dealing Day pursuant to the Operating Guidelines) or such other number of Business Days after the relevant Dealing Day as determined by the Manager in consultation with the Trustee from time to time and notified to the relevant Participating Dealers or as otherwise described in the relevant Appendix.

  • Settlement Price means the agreed upon price at which to purchase and sell a specified type and quantity of a commodity.

  • Settlement Unit means each hour in a day divided into hour-long periods starting at 00:00 on such day.

  • Class R-I Interest The uncertificated Residual Interest in REMIC I.

  • Class Optimal Interest Distribution Amount With respect to any Distribution Date and interest-bearing Class, the sum of (i) one month's interest accrued during the related Interest Accrual Period at the Pass-Through Rate for such Class, on the related Class Certificate Balance or Notional Amount, as applicable, immediately prior to such Distribution Date, subject to reduction pursuant to Section 4.02(d), and (ii) any Class Unpaid Interest Amounts for such Class.

  • Asset Interest is defined in Section 2.1(b).

  • Class Interest Distribution Amount As to each RCR Class and each Distribution Date, an amount equal to interest accrued during the related Interest Accrual Period (computed on the basis of a 360-day year consisting of twelve 30-day months) at the applicable Interest Rate on the Class Balance thereof immediately prior to such Distribution Date.

  • Overfunded Interest Amount With respect to any Subsequent Transfer Date, the excess of (A) the amount on deposit in the Capitalized Interest Account on such date over (B) the excess of (i) the amount of interest accruing at the sum of the (a) assumed weighted average Pass-Through Rate of the Offered Certificates and (b) the Applicable Rate on the Prefunded Amount outstanding at the end of the related Collection Period for the total number of days remaining through the end of the Accrual Periods ending April 25, 2004, May 24, 2004 and June 24, 2004 over (ii) one month of investment earnings on the amount on deposit in the Capitalized Interest Account on such date at an annual rate of 0.75%. The assumed weighted average Pass-Through Rate will be calculated assuming the Certificate Index is 1.09% for any Subsequent Transfer Date prior to the April 2004 Distribution Date, 1.34% for any Subsequent Transfer Date prior to the May 2004 Distribution Date and 1.59% for any Subsequent Transfer Date prior to the June 2004 Distribution Date.
