SFD Technology definition

SFD Technology means the stress field detector technology to be ---------------- used by Pinnacle in conducting the SFD Survey;
SFD Technology means the technologies and scientific theories upon which the Stress Field Detector is based.

  • Momentum and Liszicasz have not sold, ------------------ assigned, transferred, conveyed or encumbered any rights with respect to the use of the Stress Field Detector and/or SFD Technology which are inconsistent with the rights granted to Pinnacle International hereunder.

  • Momentum shall, at its sole cost and expense, be responsible for the -------- prosecution and/or defense of any action in the nature of unfair competition, patent infringement, copyright infringement, trademark infringement, or other proprietary right infringement relating to the Stress Field Detector, the SFD Technology and/or the SFD Data.

  • Pinnacle shall conduct each SFD Survey utilizing the SFD Technology in a professional and diligent manner.

  • Pinnacle International further agrees that it shall not prosecute any action against third parties in the nature of unfair competition, patent infringement, copyright infringement, trademark infringement, or other proprietary right infringement relating to the Stress Field Detector, the SFD Technology and/or the SFD Data without the prior written consent of Momentum, which it may withhold in its sole discretion.

  • The granting of exclusive rights to Pinnacle International for the use of the SFD Data to identify and exploit Hydrocarbons, and the use of the Stress Field Detector and the SFD Technology by Momentum in generating and providing such SFD Data to Pinnacle International, will not infringe upon or violate any intellectual property right of any other Person including, without limitation, any patent, tradename, trademark, copyright or other proprietary right of any other Person.

  • Notwithstanding clause (i) above, Momentum and its Subsidiaries may, without the ---------- consent of Pinnacle International, use the Stress Field Detector, the SFD Technology and/or the SFD Data (including all SFD Data generated on behalf of Pinnacle International under this Agreement), for any business other than the identification and/or exploitation of Hydrocarbons.

  • Neither Pinnacle International --------------------- nor any of its Subsidiaries will challenge the validity of Momentum's ownership and title in and to the Stress Field Detector, the SFD Technology and/or the SFD Data (except with respect to Pinnacle International's rights under this Agreement), or any patent, trademark, copyright or other intellectual property right pertaining thereto.

  • Pinnacle International agrees that it will not apply for nor seek to obtain patent, trademark, copyright or any other property rights in or with respect to the Stress Field Detector, the SFD Technology and/or the SFD Data without the prior written consent of Momentum, which consent it may withhold in its sole discretion.

  • The Parties hereby submit all controversies, claims and matters of difference arising under this Agreement (other than those, if any, relating to ownership of the SFD Technology or SFD Data) to arbitration.

  • The parties agree that, for ---------------------------- purposes of maintaining secrecy and confidentiality, Momentum shall have no obligation to obtain patent, trademark and/or copyright protection in the United States and/or any other country with respect to the Stress Field Detector and/or SFD Technology.

Related to SFD Technology

  • Licensed Technology means the Licensed Patents and Licensed Know-How.

  • Licensee Technology means the Licensee Know-How and Licensee Patents.

  • Background Technology means all tools, programs, designs, processes, formulas, techniques, improvements, inventions, works of authorship, software, data, know-how, ideas, methodologies, specifications, code libraries, algorithms, protocols, routines, subroutines, network systems, machine learning models, Trade Secrets (defined below), and other technology which are: (a) created, developed, owned, or licensed by PickNik prior to the Effective Date of this Agreement; (b) are created, developed, owned, or licensed by PickNik during the term of this Agreement but not delivered as a part of the Software; (c) which have general applicability to PickNik’s business and which are not based on any Company Confidential Information; or (d) modifications of or derivatives to any of the foregoing.

  • Developed Technology means any Technology including, without limitation, any enhancements, substitutions or improvements to the Core Technology that is (a) discovered, developed or otherwise acquired by DURA pursuant to the terms of the Development Agreement or (b) otherwise acquired by or on behalf of ▇▇▇▇▇▇ Corp. II during the term of the Development Agreement.

  • Licensor Technology means the Licensor Patents and the Licensor Know-How.
