Share Conversion Price definition

Share Conversion Price means the price per Share of which ADSs may be converted into Class A ADSs. As of the date hereof, the Share Conversion Price is $ 11.50 per ADS.

  • The Holder of an ADS shall be considered the owner of Class A Shares of the Company issuable upon conversion of Shares only upon receipt by the Conversion Agent from the Custodian acting on behalf of the Holder of (i) the requisite Shares, (ii) duly completed instructions for the conversion of such Shares, and (iii) the Share Conversion Price.

  • The number of New Equity Securities issuable upon such conversion shall equal (i) the outstanding Principal and accrued, but unpaid, interest of this Note being converted, divided by (ii) the Financing Per Share Conversion Price.
