Share Value definition
Share Value means, as applicable (including for purposes of determining TSR) and except as provided in the following sentence, the average of the closing prices of one Share on the New York Stock Exchange (the “NYSE”) (or, if not then listed on the NYSE, on the principal market or quotation system on which Shares are then traded) for (i) the 30 days on which Shares were traded prior to the Effective Date (for the value of a Share on the Effective Date); or (ii) the 30 days on which Shares were traded prior to and including the last day of the Measurement Period (for the value of a Share on the last day of the Measurement Period); provided that for purposes of Section 4 below and the “purchase” of additional RSUs thereunder, “Share Value” means the closing price of one Share on the NYSE (or, if not then listed on the NYSE, on the principal market or quotation system on which Shares are then traded) on the applicable dividend payment date. In the event of a Business Combination approved by the shareholders of the Trust on or prior to December 31, 2022, Share Value shall mean the final price per Share agreed upon by the parties to the Business Combination.
Share Value means, with respect to a given trading day, the closing price of a company’s common stock multiplied by the Accumulated Shares for such trading day.

Notwithstanding anything to the contrary set forth above, in the event of there being an indemnifiable Loss in respect of a breach of any of the representations or warranties set forth in Section 5.12 of this Agreement, the Seller’s liability shall be limited to 10% of the value of the Seed Share Consideration held by it calculated on the basis of the Per Share Value and 10% of any Deferred Consideration Payment paid or payable to it.
The price (the “Purchase Price”) payable by the Purchaser to the Vendors for the Purchased Shares will be the sum of EIGHTEEN MILLION DOLLARS ($18,000,000.00) inclusive of the Share Value subject to adjustment in accordance with the terms hereof and payable as hereinafter set forth in Section 2.3 hereof.
For greater certainty, the Parties acknowledge and agree that if a Xxxxxxxx Spin-Out Event has occurred, the Xxxxxxxx Spinco Share Value shall not be included, directly or indirectly, in the determination of Aggregate Adjusted Consideration hereunder.
More Definitions of Share Value
Share Value shall be determined as follows:
(i) if the Parent Share Value is equal to or greater than $2.5054 and equal to or less than $3.4838, the Share Value shall be $20.00;
(ii) if the Parent Share Value is greater than $3.4838, the Share Value shall be $23.00; and
(iii) if the Parent Share Value is less than $2.5054, the Share Value shall be $17.00.
Share Value as of any given date, means the average of the closing trading prices of a Share on the principal exchange on which such shares are then traded for each trading day during the twenty (20) consecutive calendar days ending on such date; provided, however, that if a Change in Control occurs prior to the completion of the Performance Period, Share Value shall mean the price per Share paid by the acquiror in the Change in Control transaction or, to the extent that the consideration in the Change in Control transaction is paid in stock of the acquiror or its affiliates, then, unless otherwise determined by the Administrator, Share Value shall mean the value of the consideration paid per Share based on the average of the high and low trading prices of a share of such acquiror stock on the principal exchange on which such shares are then traded on the date on which a Change in Control occurs.
Share Value as of any given date, means the average of the closing trading prices of a Share on the principal exchange on which such shares are then traded for each trading day during the thirty (30) consecutive calendar days ending on such date; provided, however, that if the last day of the Performance Period is the date on which a Change in Control occurs, Share Value shall mean the price per Share paid by the acquiror in the Change in Control transaction or, to the extent that the consideration in the Change in Control transaction is paid in stock of the acquiror or its affiliates, then, unless otherwise determined by the Committee, Share Value shall mean the value of the consideration paid per Share based on the average of the high and low trading prices of a share of such acquiror stock on the principal exchange on which such shares are then traded on the date on which a Change in Control occurs.
Share Value shall have the meaning set forth in Section 12.4(d).
Share Value means for a Series 24 Share or Series 25 Share, as applicable, $25.00 plus declared and unpaid dividends thereon as of the date of the Trigger Event.
Share Value. (i) means the average of at least ten (10) consecutive closing prices of the Shares on Euronext Growth chosen from the twenty (20) consecutive closing prices of the Shares on Euronext Growth preceding the buy-back (or the buy-back offer).
Share Value shall have the meaning given to it in Section 3.1(a) hereof.
