Shareholder Vote definition

Shareholder Vote has the meaning set forth in Section 11.2.B.
Shareholder Vote shall have the meaning ascribed thereto in the Recitals.
Shareholder Vote means the vote or written consent of the requisite shareholders of the Corporation in accordance with the MGCL, the Charter and Bylaws of the Corporation and the rules and regulations of the New York Stock Exchange approving both Conversion Price Adjustment Provisions.
