Shares Amount means a number of Shares equal to the product of the number of Partnership Units offered for redemption by a Redeeming Partner times the Conversion Factor; provided, however, that, if the Parent issues to holders of Shares securities, rights, options, warrants or convertible or exchangeable securities entitling such holders to subscribe for or purchase Shares or any other securities or property (collectively, the “rights”), then the Shares Amount shall also include such rights that a holder of that number of Shares would be entitled to receive unless the Partnership issues corresponding rights to holders of Partnership Units.

In the case of a merger, consolidation, or recapitalization involving, or other change in identity, form or place of organization of, the General Partner, the "Shares Amount" shall mean a number of shares, certificates of beneficial interest, cash or other property or other securities of the successor General Partner in connection with such change equal to the product of the number of OP Common Units offered for redemption by a Redeeming Partner times the Adjustment Factor times the number (or fractional number) of such shares, certificates of beneficial interest, cash or other property or other securities issued or paid in exchange for one Share in connection with the transaction or series of related transactions effecting such change (and such shares, certificates of beneficial interest, cash or other property or other securities shall be considered "Shares" for purposes hereof).

Shares Amount means the “Shares Amount” as defined in the Operating Partnership Agreement.
