SHB Financial Statements means (a) the consolidated balance sheets (including related notes and schedules, if any) of SHB as of December 31, 2000, 2001, 2002 and the related statements of income, changes in shareholders' equity, and cash flows (including related notes and schedules, if any) for each of the three fiscal years ended December 31, 2000, 2001, and 2002, included in the SHB Disclosure Memorandum, and (b)the consolidated balance sheets (including related notes and schedules, if any) of SHB and related statements of income, changes in shareholders' equity, and cash flows (including related notes and schedules, if any) with respect to periods ended subsequent to December 31, 2002. <PAGE>
