The Holders shall have the right to select one co-bookrunning managing underwriter and the Company shall have the right to select a second co-bookrunning managing underwriter (together, the "Shelf Underwriters").
Shelf Underwritten Offering shall have the meaning given in subsection 2.1.3.
IPO Underwriter means each Person named as an underwriter in Schedule I to the IPO Underwriting Agreement who purchases Common Units pursuant thereto.
Shelf Offering has the meaning set forth in Section 1(d)(i).
Initial Shelf Registration See Section 3(a).
Managing Underwriters means the investment banker or investment bankers and manager or managers that administer an underwritten offering, if any, under a Registration Statement.
Underwriters means the underwriters named in Schedule A to the Underwriting Agreement.
Company Underwriter has the meaning set forth in Section 4(a).
Participating Underwriter means any of the original underwriters of the Bonds required to comply with the Rule in connection with offering of the Bonds.
Shelf Registrable Securities has the meaning set forth in Section 1(d)(i).
Managing Underwriter means, with respect to any Underwritten Offering, the book-running lead manager of such Underwritten Offering.
Underwritten Shelf Takedown shall have the meaning given in subsection 2.3.3.
Initial Shelf Registration Statement has the meaning set forth in Section 2(a) hereof.
Underwriter means a securities dealer who purchases any Registrable Securities as principal in an Underwritten Offering and not as part of such dealer’s market-making activities.
Shelf Takedown means an Underwritten Shelf Takedown or any proposed transfer or sale using a Registration Statement, including a Piggyback Registration.
Shelf Registration means a registration effected pursuant to Section 2(b) hereof.
Subsequent Shelf Registration shall have the meaning given in subsection 2.3.2.
Underwritten Takedown means an underwritten public offering of Registrable Securities pursuant to the Resale Shelf Registration Statement, as amended or supplemented.
Shelf Registration Period has the meaning set forth in Section 3(b) hereof.
Resale Shelf Registration Statement shall have the meaning given in subsection 2.3.1.
Shelf Registration Statement means the Shelf Registration Statement as defined in the Registration Rights Agreement.
Underwriters' Securities means the Offered Securities other than Contract Securities.
Subsequent Shelf Registration Statement has the meaning set forth in Section 2(b) hereof.
Underwritten Shelf Take-Down has the meaning set forth in Section 2.4(b).
Credit Underwriter means the independent contractor under contract with the Corporation having the responsibility for providing Credit Underwriting services.
Pending Underwritten Offering means, with respect to any Holder forfeiting its rights pursuant to this Section 4.5(l), any underwritten offering of Registrable Securities in which such Holder has advised the Company of its intent to register its Registrable Securities either pursuant to Section 4.5(a)(ii) or 4.5(a)(iv) prior to the date of such Holder’s forfeiture.
Shelf Registration Event shall have the meaning set forth in Section 2(b) hereof.
