Shelf Registration Period has the meaning set forth in Section 3(b) hereof.
Subsequent Shelf Registration shall have the meaning given in subsection 2.3.2.
Shelf Registration means a registration effected pursuant to Section 2(b) hereof.
Shelf shall have the meaning given in subsection 2.3.1.
Shelf Period has the meaning set forth in Section 2.02(b).

Automatic Shelf Registration Statement means an “automatic shelf registration statement” as defined in Rule 405 promulgated under the Securities Act.
Shelf Prospectus means the prospectus included in the Shelf ---------------- Registration Statement, including any preliminary prospectus, and any amendment or supplement thereto, including any supplement relating to the terms of the offering of any portion of the Shelf Registrable Securities covered by the Shelf Registration Statement, and in each case including all material incorporated by reference therein.
Shelf Registration Event shall have the meaning set forth in Section 2(b) hereof.
Shelf Filing Event shall have the meaning set forth in Section 2(c) hereof.
Shelf Life means the period between the date of manufacture and the “Best Before” or “Date of expiry” whichever is earlier as printed on the label;
Shelf Offering has the meaning set forth in Section 1(d)(i).
Shelf Filing Deadline As defined in Section 4(a) hereof.
Shelf Registration Event Date shall have the meaning set forth in Section 2(b) hereof.
Shelf Registrable Securities has the meaning set forth in Section 1(d)(i).
Shelf Suspension shall have the meaning set forth in Section 3.2.4.
Shelf Request shall have the meaning set forth in Section 2(b) hereof.
Shelf Effectiveness Period shall have the meaning set forth in Section 2(b) hereof.
Registration Statement means any registration statement that covers the Registrable Securities pursuant to the provisions of this Agreement, including the Prospectus included in such registration statement, amendments (including post-effective amendments) and supplements to such registration statement, and all exhibits to and all material incorporated by reference in such registration statement.
Shelf Holder means any Holder that owns Registrable Securities that have been registered on a Shelf Registration Statement.
Shelf Effectiveness Deadline As defined in Section 4(a) hereof.
Shelf Take-Down has the meaning set forth in Section 2.4(a).
