Short-Term Debentures definition

Short-Term Debentures has the meaning set forth in Section 2.10.
Short-Term Debentures means short-term debentures to be issued by the Company; “Specific Explanatory Report” means the specific explanatory report approved by the Board on 8
Short-Term Debentures has the meaning given to it in Section 3.02(c).

Examples of Short-Term Debentures in a sentence

  • The Short-Term Debentures will mature 94 days after the date of such Cash Exercise, with a principal amount at maturity equal to the Nominal Accreted Value of a Debenture on that date.

  • The date on which the Warrant Certificate, Debentures and, if applicable, Cash Amount are received by the Warrant Agent shall be deemed to be the date on which the related Warrant is exercised and the related Common Stock is issued and, if applicable, the Short-Term Debentures are delivered.

  • Any transferee of a Short-Term Debenture shall be deemed not to be a Holder of such Short-Term Debenture for any purpose, such transferee shall be deemed to have no interest whatsoever in such Short-Term Debentures and the transferor shall be treated as the owner of such Short-Term Debentures purported to have been transferred.

  • In the case of any Cash Exercise pursuant to Section 3.02(b), the Company shall also deliver to the exercising Holder a number of Debentures in definitive registered form with modified terms and conditions (as so modified, the "Short-Term Debentures") equal in number to the Like Amount of Debentures tendered upon Cash Exercise, registered in such name or names as may be directed by such Holder.

  • The date on which the Warrant Certificate, Debentures and Cash Amount in respect of the Exercise Price were received by the Warrant Agent shall be deemed to be the date of delivery of the Short-Term Debentures.

  • Interests in Short-Term Debentures may not be held though the Depositary, its nominee or any other Clearing Agency, as defined in the Warrant Agreement.
