Otherwise, since December 31, 2004, with respect to events or changes relating to Company and its Subsidiaries other than the SI Companies and since October 2, 2005 with respect to events or changes relating to the SI Companies, no event or change has occurred that has resulted in or evidences, either in any case or in the aggregate, a Material Adverse Effect that is continuing.
From and after the Closing Date, Company shall not, and shall not permit any of its Subsidiaries to, engage in any business other than (i) the business conducted by Company and its Subsidiaries as of the Closing Date, the business conducted by the SI Companies and their Subsidiaries as of the Closing Date and similar or related businesses and (ii) such other lines of business as may be consented to by Requisite Lenders.
