Side Letters definition

Side Letters. As defined in Section 11.2(a). SIGTARP: The Special Inspector General for the Troubled Asset Relief Program. Similar Law: Any federal, state, local, non-U.S. or other law or regulation that could cause the underlying assets of the Partnership to be treated as assets of a Limited Partner by virtue of its Interest and thereby subject the Partnership and the General Partner (or other persons responsible for the investment and operation of the Partnership’s assets) to laws or regulations that are similar to the fiduciary responsibility or prohibited transaction provisions contained in Title I of ERISA or Section 4975 of the Code.
Side Letters shall have the meaning set forth in the Partnership Agreement. “SIGTARP” shall have the meaning set forth in the Partnership Agreement. “Subadvisors” shall have the meaning set forth in the Partnership Agreement.
Side Letters means any letter or other agreement entered into between the Company or a Series and a Member or a prospective Member that is related to such Member’s or prospective Member’s Membership Interest or rights and obligations relating thereto.
