Significant Group Company definition

Significant Group Company means (a) the Company and (b) any Group Company with:
Significant Group Company means the Company, MINISO Universal Holding Limited (which is defined as “BVIA 公司” under the Restructuring Framework Agreement), MINISO Global Holding Limited (which is defined as “BVIB 公司” under the Restructuring Framework Agreement), Miniso Investment HK, the Hong Kong Company (upon its establishment), Guangzhou Miniso and any other Group Company which (i) has a revenue (calculated on a consolidated basis) representing 10% or more of the total revenue of the Group Companies (calculated on a consolidated basis), or (ii) has a profit (calculated on a consolidated basis) representing 10% or more of the total profit of the Group Companies (calculated on a consolidated basis).
Significant Group Company means any of the Group Company that attributes twenty percent (20%) or more of the revenue to the Company on a consolidated basis.

Significant Group Company means each Person listed on Schedule IV of the Investor Rights Agreement and any of other current and future Subsidiaries and consolidated affiliate entities of the Company whose revenue for the prior fiscal year exceeds RMB 500,000,000 or that is otherwise material to the Group.

Related to Significant Group Company

  • Material Group Company means the Issuer or a Subsidiary representing more than 5.00 per cent. of either (i) the total assets of the Group on a consolidated basis (for the avoidance of doubt, excluding any intra-group transactions) or (ii) the net profit of the Group on a consolidated basis according to the latest Financial Report.

  • Group Company means any one of them;

  • Subsidiaries means any corporation or other organization, whether incorporated or unincorporated, in which the Company owns, directly or indirectly, any equity or other ownership interest.

  • Group Companies means the Company and its Subsidiaries.

  • Significant Guarantor means any guaranty agency that guarantees trust student loans comprising at least 10% of the Pool Balance of the trust student loans by outstanding principal balance as of the statistical disclosure date.

  • Significant Subsidiaries means, as of any date of determination, collectively, all Subsidiaries that would constitute a “significant subsidiary” under Rule 1-02 of Regulation S-X promulgated by the SEC, and each of the foregoing, individually, a “Significant Subsidiary.”

  • Company Group Member means each member of the Company Group.

  • Significant Industrial User (SIU) means any industrial user that:

  • Significant Assets means one or more assets or businesses which, when purchased, optioned or otherwise acquired by the CPC, together with any other concurrent transactions, would result in the CPC meeting the initial listing requirements of the Exchange.

Notwithstanding the foregoing, the term “Partnership Subsidiary” shall not in any way be deemed to include the Non-Controlled Subsidiaries or subsidiaries thereof, the Taxable REIT Subsidiaries or subsidiaries thereof, or the Subsidiary REITs or subsidiaries thereof.

  • Target Company means each of the Company and its direct and indirect Subsidiaries.

  • Company Subsidiary means any Subsidiary of the Company.

  • Peer Group Companies means the following companies: .

  • Material Subsidiaries Subsidiaries of the Parent Borrower constituting, individually or in the aggregate (as if such Subsidiaries constituted a single Subsidiary), a “significant subsidiary” in accordance with Rule 1-02 under Regulation S-X.

  • Insignificant Subsidiary means, on any date, any Subsidiary of Caterpillar or CFSC whose aggregate asset value, as reasonably calculated by Caterpillar in accordance with generally accepted accounting principles, is at less than or equal to $50,000,000 on such date.

  • Parent Subsidiaries means the Subsidiaries of Parent.

  • HK Company shall have the meaning ascribed to it in the preamble of this Agreement.

  • Acquired Company means any business, corporation or other entity acquired by the Company or any Subsidiary.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Operating Companies shall have the meaning specified in the recitals to this Agreement.

  • Acquired Corporations means the Company and each of its Subsidiaries, collectively.

  • Target Companies means the Company and its Subsidiaries.

  • Acquired Entities means the Company and each of its Subsidiaries, collectively.

  • PRC Subsidiaries means all Company Subsidiaries organized under the Laws of the PRC.
