The Company Group comply, and for the two (2) years prior to the Signing Date, have complied in all material respects with its internal policies and privacy statements, policies and procedures related to the processing of Personal Data, and applicable Privacy Laws.
The first Drawdown shall occur at the latest on the expiry date of a twelve (12) month period from the Signing Date.
The Borrower shall pay to the Lender, within fifteen (15) Business Days of the Lender’s request, all Additional Costs incurred by the Lender as a result of: (i) the coming into force of any new law or regulation, or any amendment to, or any change in the interpretation or application of any existing law or regulation; or (ii) compliance with any law or regulation enacted after the Signing Date.
This Agreement comes into force on the Signing Date and remains in full force and effect for as long as any amount is outstanding under this Agreement.
As of the Signing Date, this Agreement represents the entire agreement between the Parties in relation to the matters set out herein, and supersedes and replaces all previous documents, agreements or understandings which may have been exchanged or communicated as part of the negotiations in connection with this Agreement.
