In addition, in contemplation of, and prior to, the Merger, the Company will effect the merger of SLK Investing Co. with and into the Company (the "SLK Investing Co. Merger") pursuant to the terms of that certain Agreement of Merger by and between the Company and SLK Investing Co. (the "SLK Investing Co. Merger Agreement").
The Members directly or indirectly holding all of the partnership interests in SLK Investing Co. will agree simultaneously herewith to cause SLK Investing Co. to transfer all of the Class A limited partnership interest it owns in the Partnership to Acquiror or its designee at the Effective Time.
