Social Media Assets definition

Social Media Assets means all accounts, profiles, registrations, usernames, keywords, tags, and other social media identifiers used in connection with any social media websites, channels, pages, groups, blogs and lists.
Social Media Assets means internet domain names, whether or not Products Trademarks, web addresses, web pages, websites and related content, accounts on Twitter, Facebook, Instagram and other social media companies and the content found thereon and related thereto, and URLs, in each case Related to the Business.
Social Media Assets means Seller’s worldwide ownership, control, right, title, and interest in and to the social media accounts with the social media platforms set forth on Section 1.3 of the Disclosure Letter and the social media pages associated with such accounts, all rights of an account holder as set forth in the terms of service or comparable agreement between Seller and the operator of the corresponding social media platform, all copyrights in such social media pages and all content owned by Seller on such social media pages, including all graphics used on the social media pages, all databases generated for the social media accounts and pages, online forms and scripts used in connection with the social media accounts and pages and all advertisements for the social media accounts and pages, and the goodwill associated with the social media accounts and pages and symbolized thereby.

Examples of Social Media Assets in a sentence

  • Licensee shall be solely responsible for any liabilities arising out of the operation of the Social Media Assets and Internet Assets from and after such Trigger Event.

  • Further, the Parties shall cooperate (i) with respect to their respective uses of Social Media Assets that contain any Licensed Marks, or any Derivations thereof, through the Branding Committee and (ii) to address any use of any such Social Media Assets in a manner that disparages or otherwise reflects negatively on any Party’s business or Trademarks.

  • Licensee shall be solely responsible for any liabilities arising out of the operation of the Social Media Assets and any other internet assets from and after such Trigger Event.

  • Section 4.10(a) of the Disclosure Schedule also lists all domain names and Social Media Assets owned.

  • Assignor and Assignee wish to document the formal transfer and assignment to Assignee of Assignor’s title, interest and rights in and to the Domain Names and the Social Media Assets.

  • COMPANY A shall provide COMPANY B all information (including login and password) to access and take full ownership and control of the Social Media Assets, shall inform all employees, vendors and contractors associated with the Social Media Assets of the transfer of ownership and control to COMPANY B and shall do all things necessary or desirable to facilitate the transition for COMPANY B.

  • At Assignee’s reasonable expense, each Assignor agrees to promptly, upon Assignee’s request, execute documents, testify and take other acts as Assignee may deem necessary or desirable to procure, maintain, perfect, evidence and enforce the full benefits, enjoyment, rights, title and interest, on a worldwide basis of the Social Media Assets and all rights assigned hereunder.

  • On the Transfer Date, COMPANY B shall assume responsibility for responding to requests generated by visitors to the Social Media Assets.


More Definitions of Social Media Assets

Social Media Assets means (a) all access credentials, accounts, profiles, pages, feeds, registrations and other presences on or used in connection with any (i) social media or social networking website or service, (ii) online blog or message board, (iii) photo, video or other content- sharing website or service, (iv) rating and review website or service, or (v) collaborative content website or service or similar forum, and (b) all content contained in or used in connection with any of the foregoing.
Social Media Assets means Seller’s worldwide ownership, control, right, title, and interest in and to the social media pages set forth on Section 1.3 of the Disclosure Letter of the Disclosure Letter, all copyrights in such social media pages and all content owned by Seller on such social media pages, including all graphics used on the social media pages, online forms and scripts used in connection with the social media pages and all advertisements for the social media pages, and the goodwill associated with the social media pages and symbolized thereby, but does not include any software, images or materials owned by third parties or subject to rights of third parties and used on or in connection with social media pages, except to the extent such third party software, images or material may be transferred without consent or payment to the third party and does not include any Personal Information.
Social Media Assets means all profiles and accounts for and data derived from Borrower’s relationship networks, media sharing networks, discussion forums, social publishing platforms, bookmarking sites, internet based networks, ecommerce sites and partnership and other online assets.
