SOFR Benchmark Replacement Date definition

SOFR Benchmark Replacement Date means the Benchmark Replacement Date with respect to the then-current Benchmark;
SOFR Benchmark Replacement Date means the date of occurrence of a Benchmark Event with respect to the then-current SOFR Benchmark;
SOFR Benchmark Replacement Date means, with respect to the then-current SOFR Benchmark, the earliest to occur of the following events with respect thereto:

Examples of SOFR Benchmark Replacement Date in a sentence

  • If a SOFR Benchmark Event and its related SOFR Benchmark Replacement Date (each as defined on the reverse of this Security) occurs when any interest rate on the Security (or any component part thereof) remains to be determined by reference to the SOFR Benchmark (as defined on the reverse of this Security), then the provisions of Section 2.02(d) of the Fourth Supplemental Indenture shall apply.

  • If the Issuer determines on or prior to the relevant Reference Time that a SOFR Benchmark Transition Event and its related SOFR Benchmark Replacement Date have occurred with respect to the then current Benchmark, the Benchmark Replacement will replace the then current Benchmark for all purposes relating to the Notes in respect of such determination on such date and all determinations on all subsequent dates.

  • If a SOFR Benchmark Event and its related SOFR Benchmark Replacement Date (each as defined on the reverse of this Security) occurs when any interest rate on the Security (or any component part thereof) remains to be determined by reference to the SOFR Benchmark (as defined on the reverse of this Security), then the provisions of Section 2.02(d) of the Fifth Supplemental Indenture shall apply.

  • If the Issuer or its designee, after consulting with the Issuer, determines that a SOFR Benchmark Transition Event and related SOFR Benchmark Replacement Date have occurred with respect to SOFR, the applicable SOFR Benchmark Replacement will replace the then-current SOFR Benchmark (which will be a rate based on SOFR at the original issue date of the relevant SOFR Notes) for all purposes relating to such SOFR Notes.


More Definitions of SOFR Benchmark Replacement Date

SOFR Benchmark Replacement Date means the earliest to occur of the following events with respect to the then-current SOFR Benchmark (including the daily published component used in the calculation thereof):
SOFR Benchmark Replacement Date means the date of occurrence of a Benchmark Event (as defined in Condition 5.3(i)) with respect to the then- current Benchmark (as defined in Condition 5.3(i));
SOFR Benchmark Replacement Date means the Benchmark Replacement Date (as defined in Condition 5.11) with respect to the then-current SOFR Benchmark;
SOFR Benchmark Replacement Date means the earliest to occur of the following events with respect to the then current Benchmark (including the daily published component used in the calculation thereof):
SOFR Benchmark Replacement Date means the earliest to occur of the following events with respect to the then-current Reference Rate (including the daily published component used in the calculation thereof): (1) in the case of clause (1) of the definition ofSOFR Benchmark Transition Event,” the relevant Reference Time in respect of any determination; (2) in the case of clause (2) or (3) of the definition of “SOFR Benchmark Transition Event,” the later of (a) the date of the public statement or publication of information referenced therein and (b) the date on which the administrator of the benchmark permanently or indefinitely ceases to provide the benchmark (or such component); or (3) in the case of clause (4) of the definition of “SOFR Benchmark Transition Event,” the date of the public statement or publication of information referenced therein; provided that, in the event of any public statements or publications of information as referenced in clauses (2) or (3) above, should such event or circumstance referred to in such a public statement or publication occur on a date falling later than three (3) months after the relevant public statement or publication, the SOFR Benchmark Transition Event shall be deemed to occur on the date falling three (3) months prior to such specified date (and not the date of the relevant public statement or publication). For the avoidance of doubt, if the event giving rise to the SOFR Benchmark Replacement Date occurs on the same day as, but earlier than, the Reference Time in respect of any determination, the SOFR Benchmark Replacement Date will be deemed to have occurred prior to the Reference Time for such determination.

Related to SOFR Benchmark Replacement Date

  • Benchmark Replacement Date means the earliest to occur of the following events with respect to the then-current Benchmark:

  • Benchmark Replacement means, for any Available Tenor, the first alternative set forth in the order below that can be determined by the Administrative Agent for the applicable Benchmark Replacement Date:

  • Unadjusted Benchmark Replacement means the applicable Benchmark Replacement excluding the related Benchmark Replacement Adjustment.

  • Benchmark Replacement Adjustment means, with respect to any replacement of the then-current Benchmark with an Unadjusted Benchmark Replacement for any applicable Interest Period and Available Tenor for any setting of such Unadjusted Benchmark Replacement:

  • SOFR Benchmark Transition Event means the occurrence of a Benchmark Transition Event with respect to the then-current Benchmark;

  • Administrator/Benchmark Event Date means, in respect of an Administrator/Benchmark Event, the date on which the authorisation, registration, recognition, endorsement, equivalence decision, approval or inclusion in any official register is (i) required under any applicable law or regulation; or

  • Reference Interest Rate Replacement Date means the earliest to occur of the following events with respect to the then-current Reference Interest Rate

  • Qualifying Replacement Capital Covenant has the meaning specified in the Replacement Capital Covenant.
