Software Terms definition

Software Terms means the terms in a Software Agreement for Contractor Licensed Software that state (a) the Contractor Affiliate that is the licensor of the Software (the “Licensor”) (b) Software title, license definitions, rights, and restrictions; (c) Software warranties and remedies; (d) maintenance and support services for the Software; (e) the Licensor’s rights in connection with a change of control of Licensor or a sale of its assets; (f) OETC’s compliance obligations with respect to the Software; (g) the partiesrights and obligations with respect to a termination of the Software Agreement or a license granted thereunder, and (h) the parties’ liability in the event of a misappropriation, misuse, or disclosure of the other party’s intellectual property, including, but not limited to the Software.
Software Terms means the terms in a Software Agreement for Dell Licensed Software that state (a) the Dell Affiliate that is the licensor of the Software (the "Licensor”) (b) Software title, license definitions, rights, and restrictions; (c) Software warranties and remedies; (d) maintenance and support services for the Software; (e) the Licensor’s rights in connection with a change of control of Licensor or a sale of its assets; (f) Customer’s compliance obligations with respect to the Software; (g) the partiesrights and obligations with respect to a termination of the Software Agreement or a license granted thereunder, and (h) the parties’ liability in the event of a misappropriation, misuse, or disclosure of the other party’s intellectual property, including, but not limited to the Software.

Examples of Software Terms in a sentence

  • End user license fees are non-refundable except as provided in Section 7 above, or in the Specific Software Terms below, and shall be paid without deduction, including without limitation, of any withholding tax.

  • The Licensed Software Terms are incorporated in the Agreement, including these Service Terms, by reference.

  • Applicable Software Terms are incorporated herein by this reference.

  • Any use of Third Party Software is subject solely to the rights and obligations under the applicable Third Party Software Terms and Notices.

  • The Software that is licensed hereunder is licensed subject to the Software Terms and not sold.

  • Company shall affix any proprietary markings or legends placed upon or contained within the Licensed Software and Documentation to any copies of the Licensed Software and Documentation permitted under these Licensed Software Terms.

  • Company acknowledges and agrees that it is only obtaining a limited license right to the Licensed Software (including Third-Party Code) and Documentation and that irrespective of any use of the words “purchase”, “sale” or like terms in these Licensed Software Terms or in the Agreement no ownership rights are being conveyed to Company under these Licensed Software Terms, the Agreement or otherwise.


More Definitions of Software Terms

Software Terms means these Civica Software Terms and Conditions (Supplemental). Start Date means the date shown in the Contract.
Software Terms means the terms and conditions imposed by Supplier or any third party provider of the Software made available to the Client from time to time online at the web address xxx.xxx.xx/xxxxx-xx/xxxxxxxx (or such other web address as may be notified to the Client from time to time), as amended from time to time by the relevant software supplier; Subscription Term means the period of time which Client may access the applicable Service as set forth in the Order Form or in the absence of such a definition shall mean thirty six months; Supplier Affiliates any person, partnership, joint venture, corporation or other form of enterprise, domestic or foreign, including but not limited to, subsidiaries that directly, or indirectly control, are controlled by or are under common control with the Supplier; Support Services are the support services included in the Service Description; User is an end user of the Service including, without limitation, an employee, customer, agent, contractor, business partner or supplier, of the Client that has a User Account; User Account means a logon provided to Client to allow a User to access the Service; Virtual Machine is a guest operating system such as Windows or Linux that runs as an isolated entity on a host and is separated from the physical resources it uses such that the host environment is able to dynamically assign those resources among several Virtual Machines. Except as otherwise defined in Clause 2 above, capitalised terms shall have the meaning given to them in the Order Form.
Software Terms means terms and conditions set out in Schedule 2; and
Software Terms means the terms and conditions imposed by Calligo or any third party provider of the Software made available to the Client from time to time online at the web address xxx.xxxxxxx.xxxxx/services-and- policies/ (or such other web address as may be notified to the Client from time to time), as amended from time to time by the relevant software supplier;
Software Terms has the meaning ascribed to it in Section 3.1.1 of these Customer Terms.

Related to Software Terms

  • Software Updates means the Software releases, service packs, build updates or emergency fixes released from time to time in accordance with the Vocera’s update policy for such Software.

  • Software Update means a release of Software, in object code form, or firmware, which provides minor fixes, improvements and modifications to the Software or Equipment. Kodak software releases that are designated as updates will be identified A.B.x where the x designates the release as a Software Update.

  • Software Error means a reproducible defect or combination thereof in the Software that results in a failure of the Software when used in accordance with the Documentation. Software Errors do not include those errors caused by (a) Licensee’s negligence, (b) any unauthorized modification or alteration Licensee makes to the Software, (c) data that does not conform to Licensor’s specified data format, (d) operator error, or (e) use not conforming to the Licensor’s supported technical environment specified in the Documentation.

  • Supplier Software means software which is proprietary to the Supplier or its Affiliates which is used or supplied by the Supplier in the provision of the Services; Supplier Staff means all persons employed or engaged by the Supplier together with the Supplier's servants, agents, suppliers, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, suppliers and Sub-Contractors) used in the performance of its obligations under this Contract; Time and Materials means the pricing mechanism for the Services as may be agreed by the Parties and set out at paragraph Error: Reference source not found in the SOW; TUPE means the Transfer of Undertakings (Protection of Employment) Regulations 2006 (SI 2006/246) as amended or replaced or any other regulations or UK legislation implementing the Acquired Rights Directive; Velocity means the Metric which measures the total number of Story Points for Stories that have been accepted in a Sprint, indicating the rate of progress towards Acceptance of all Stories from the Product Backlog;

  • Software Program means the software program used by a Fund for providing Fund and account balance information including net asset value per share. Such Program may include the Lion System. In situations where the Lion System or any other Software Program used by a Fund is not available, such information may be provided by telephone. The Lion System shall be provided to Insurance Company at no charge.

  • Custom Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Custom Software.

  • Standard Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Standard Software.

  • Software Product means any COTS which you propose to provide pursuant to the contract.

  • Oracle Software means any software agent, application or tool that Oracle makes available to You for download specifically for purposes of facilitating Your access to, operation of, and/or use with, the Services.

  • Font Software means the software provided by Branding with Type which, when used on an appropriate Device or Devices, generates typeface and typographic designs and ornaments. Font Software shall include all bitmap representations of typeface and typographic designs and ornaments created by or derived from the Font Software. Font Software includes upgrades, updates, related files, permitted copies, permitted conversions, and related documentation.

  • Software License Agreement means the Motorola Software License Agreement (Exhibit A).

  • Proprietary Software means computer software developed for and owned by the Failed Bank for its own purpose and use.

  • Hosted Software means the software owned and controlled by Vendor or Vendor’s third-party contractor that supports the Hosted Software Services.

  • Software Products means any and all Software that is or has been distributed by the Division or Division Subsidiaries and their predecessors, and any similar products developed or under development by Seller relating to the Business as of the date of the Agreement, and all documentation, packaging materials, promotional materials, and training materials relating to any of the foregoing.

  • Computer software documentation means owner's manuals, user's manuals, installation instructions, operating instructions, and other similar items, regardless of storage medium, that explain the capabilities of the computer software or provide instructions for using the software.

  • Server Software means software that provides services or functionality on a computer acting as a server.

  • Software Upgrade means a release of Software, in object code form, or firmware, which adds new functionality and feature enhancements to the Software or Equipment. Kodak software releases that are designated as Software Upgrade will be identified A.B.x where the A &B designates the release as a Software Upgrade.

  • SAP Software means: (i) any and all software products and Cloud Services licensed to Customer under the License Agreement as specified in software order forms or Cloud Service Order Forms (or other order forms, schedules or appendices as applicable) thereto; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to the respective support agreement or warranty obligation and (iii) any complete or partial copies of any of the foregoing.

  • Customer Software means software which is owned by or licensed to the Customer;

  • Client Software means software that allows a Device to access or utilize the services or functionality provided by the Server Software.

  • Commercial Software means Software developed or regularly used that: (i) has been sold, leased, or licensed to the general public; (ii) has been offered for sale, lease, or license to the general public; (iii) has not been offered, sold, leased, or licensed to the public but will be available for commercial sale, lease, or license in time to satisfy the delivery requirements of this Contract; or (iv) satisfies a criterion expressed in (i), (ii), or (iii) above and would require only minor modifications to meet the requirements of this Contract.

  • Tyler Software means our proprietary software, including any integrations, custom modifications, and/or other related interfaces identified in the Investment Summary and licensed by us to you through this Agreement. • “we”, “us”, “our” and similar terms mean Xxxxx. • “you” and similar terms mean Client.

  • Embedded Software means one or more software applications which permanently reside on a computing device.

  • Software License means a license for the Software granted under this XXXX to the Licensee;

  • Third Party Software means software which is proprietary to any third party (other than an Affiliate of the Contractor) which is or will be used by the Contractor for the purposes of providing the Services.

  • Business Software means with respect to a Licensor, all Software to the extent Controlled by such Licensor or any of its Affiliates as of the Effective Date, which Software is reasonably required as of the Effective Date for the conduct of (i) the Agriculture Business if the Licensee is AgCo, including as listed on section (i) of Schedule Q, or (ii) the Materials Science Business if the Licensee is MatCo, including as listed on section (ii) of Schedule Q, in each case (in respect of the foregoing (i) and (ii)), only if and to the extent such Licensee and its Affiliates have not been granted a license or other rights to use such Software under the Separation Agreement or any other Ancillary Agreement. Notwithstanding the foregoing, Business Software expressly excludes any and all Excluded IP.
