The Licensed Technology and all Intellectual Property rights granted to the Owner with respect thereto under this Agreement are inseparable from, or must be used in connection with, the Solar Equipment furnished under this Agreement, and the transfer, taking and holding upon delivery of the Solar Equipment, or any portion thereof, by whatever means, is expressly conditioned upon and subject to the terms of Sections 5.3 and 5.4 of this Agreement.
The Licensed Technology is licensed solely for use in the form delivered to Owner, and may not be separated from any part of the Solar Equipment with which it is to be used or has been integrated.
Pursuant to any Operations and Maintenance Agreement, the EPC and the O&M shall perform all Project operations and equipment maintenance, including registration of all applicable warranty terms for Solar Cells and Solar Equipment.
In such event, Sun-Ex will use commercially reasonable efforts to enter into an alternative project lease for the remainder of the Term, with terms and conditions that Sun-Ex determines, in its’ sole discretion, are reasonable for Solar Cells and Solar Equipment of such capacity and age in the commercial environment at that time.
Sun-Ex or its Nominee intends to lease the Solar Cells for and on behalf of the Solar Cell Owners, together with the Solar Equipment, to the Consumer under an operating Project Lease for a term matching the Term (the “Project Lease”) and the Solar Cell Owners intend mandating Sun-Ex with full power of attorney to do so pursuant to this Cell Owner Agreement.
Lessee shall secure Landowner’s written permission before engaging in any activity involving excavation, earth-moving, facility construction, or permanently affixing fixtures or other items to Landowner’s facilities (other than the Solar Equipment on the facility rooftops).
Subject to Lessor’s approval, which approval will not be unreasonably withheld, Lessee may construct a road on the Leased Premises to any Solar Equipment Site.
In addition, Lessor shall not (i) plant any vegetation on the Leased Premises that could adversely affect insolation levels on Solar Equipment Sites or (ii) emit or permit the emission of suspended particulate matter, smoke, steam or other air-borne impediments to insolation.
After both the mutual execution of this Lease by ▇▇▇▇▇▇ and Lessee and receipt of all applicable permits necessary for the Solar Equipment Sites in order to install the Solar Facility on the Leased Premises, and before commencement of any construction, ▇▇▇▇▇▇ agrees to execute and deliver a Memorandum of this Lease in the form attached hereto as Exhibit E for recording in the title records of the county where the Leased Premises are located or other applicable government office.
Lessor hereby consents to the construction of the Solar Facility by Lessee on the Construction Sites and the Solar Equipment Sites, the location of which shall be subject to Lessor’s consent which shall not be unreasonably withheld, including without limitation, solar panels and related equipment, support structures, solar panel mounting, racking, substrates or supports, wiring and connections, power inverters, service equipment, metering equipment and utility interconnection equipment.
