SOLE INSTRUMENT. This Agreement (together with the exhibits attached hereto), the Stadium Agreement, the Facilities Occupancy Agreement and the Existing Facilities Agreements (subject to Section 8(d) of the Stadium Agreement) embody and constitute the sole and entire agreement among the parties hereto and the Chargers with respect to the subject matter hereof. There are no terms, obligations, covenants or conditions between the parties hereto, other than as contained herein, in the Stadium Agreement, the Scoreboard Supplement, the Existing Facilities Agreements (subject to Section 8(d) of the Stadium Agreement) and in the Facilities Occupancy Agreement. No alteration, amendment or modification hereof shall be valid unless executed by an instrument in writing by the parties with the same formality as this Agreement. Neither this Agreement, nor any term hereof, can be changed, modified or abandoned, in whole or in part, except by such instrument in writing and no subsequent oral agreement shall have any validity whatsoever.
