Sourcing Business definition

Sourcing Business means the Sellersprivate label sourcing business as operated during the 12-month period prior to the Filing, taking into account for purposes of the representations and warranties set forth in Article V reductions in headcount and importation operations and non-payment of vendors and suppliers, in each case solely with respect to such business since the Filing.
Sourcing Business means the identification, due diligence, structuring, sourcing, purchase, acquisition and closing of Eligible Investments.

  • Everbright Asia is a corporation duly incorporated, validly existing and in good standing under the laws of the British Virgin Islands and has the requisite corporate power and authority to conduct its business as now being conducted and to conduct the Luichi Sourcing Business as contemplated from and after the Closing.

  • The Everbright Asia Assets, the Everbright Asia IP and the Luichi Representation Agreements shall constitute, on and as of the Closing Date, all of the assets, properties, rights and interests, whether tangible or intangible, necessary in order for Everbright Asia to conduct the Luichi Sourcing Business from and after the Closing in substantially the same manner as conducted by the Investor and the Luichi Affiliates as of the date hereof.

  • All real property owned, occupied or leased by the Investor or the Luichi Affiliates and used in the Luichi Sourcing Business is, to the Investor's knowledge, maintained in material compliance with all applicable Legal Requirements.

  • Everbright Asia was formed solely for the purpose of engaging in the transactions contemplated by this Agreement, including the ownership, management, operation and development of the Luichi Sourcing Business from and after the Closing.

  • Other than the Everbright Asia IP, there are no other Intellectual Property Rights that are material to the conduct of the Luichi Sourcing Business, as currently conducted or as contemplated to be conducted by Everbright Asia from and after the Closing.

  • Additionally, Sellers shall reasonably cooperate with Purchaser with respect to Purchaser’s compliance with the rules and regulations applicable to the Sourcing Business and Purchaser’s obtaining any Permits that are required to operate the Sourcing Business.

  • The Investor and the Luichi Affiliates have caused their respective tangible properties and assets used in the conduct of the Luichi Sourcing Business to be maintained in accordance with good business practices, and all such assets used in the conduct of the Luichi Sourcing Business are adequate for the purposes for which they are used and intended.

  • On and as of the Closing Date, Everbright Asia shall have generated during the period beginning on the date of incorporation of Everbright Asia and ending upon the Closing Date no less than $5,000,000 in Pre-Tax Income attributable to its ownership, management, operation and development of the Luichi Sourcing Business.

  • The ownership, management, operation and development of the Luichi Sourcing Business by the Investor, Everbright Asia or any of the Luichi Affiliates does not conflict with, infringe, misappropriate or otherwise violate the Intellectual Property Rights of any other person.

  • Borrowers will submit to Agent, as soon as available, and in any case not later than thirty (30) days after the end of each month, a summary of Monthly Recurring Circuit Revenue and Recurring Circuit Margin for the Strategic Sourcing Business Unit.
