Sourcing Transaction definition

Sourcing Transaction has the meaning specified in Section 18.2(r).
Sourcing Transaction has the meaning specified in Section 18.2(i). “Specified Company Location” means the storage tanks, pipelines, rails and trucks identified on Schedule 1.1(A) hereto as “company locations” and further identified as either (i) a Company Owned Location or (ii) a Third Party Location. “Specified Indebtedness” means any obligation (whether present or future, contingent or otherwise, as principal or surety or otherwise) in respect of a repurchase transaction, money borrowed or raised, any finance lease, redeemable preference share, letter of credit, futures contract, guarantee, indemnity, or any Derivative Transaction. “Specified Termination Amount” has the meaning assigned to such term in the Fees and Adjustments Letter. “Specified Termination Date” has the meaning specified in Section 3.3(a). “Specified Transaction” means (a) any transaction (including an agreement with respect thereto) now existing or hereafter entered into between Macquarie (or any of its Designated Affiliates) and the Company (or any of its Designated Affiliates other than a Qualified Owner) (i) which is a rate swap transaction, swap option, basis swap, forward rate transaction, commodity swap, commodity option, commodity spot transaction, equity or equity index swap, equity or equity index option, bond option, interest rate option, foreign exchange transaction, cap transaction, floor transaction, collar transaction, currency swap transaction, cross-currency rate swap transaction, currency option, weather swap, weather derivative, weather option, credit protection transaction, credit swap, credit default swap, credit default option, total return swap,
Sourcing Transaction means a transaction by which CarsDirect acquires an Automobile from a P/UAG Dealer subject to the criteria specified in this Agreement, including Pricing and the criteria set forth on Exhibit A , Exhibit B-1 and Exhibit B-2 attached hereto.

  • Provided, however, in the event that CarsDirect consistently and repeatedly fails to pay the applicable P/UAG Dealers the Pricing in connection with Sourcing Transactions within seven (7) calendar days of the consummation of such Sourcing Transactions, CarsDirect shall be required to pay to the applicable P/UAG Dealer the Pricing, including documented and verified outstanding amounts owed by CarsDirect (by wire transfer) upon the consummation of each Sourcing Transaction.
