SOX Insiders definition
SOX Insiders means the directors and executive officers (or equivalent thereof) of the Primary Borrower or The ▇▇▇▇▇▇▇ Sachs Group, Inc. or any spouse thereof, in each case who, in the reasonable opinion of the Primary Borrower, constitutes “insiders” of the Primary Borrower or The ▇▇▇▇▇▇▇ ▇▇▇▇▇ Group, Inc. for purposes of SOX from time to time.
SOX Insiders means the employees (or any of their spouses) of The TCW Group, Inc., the Borrower, the Investment Advisor or any Affiliate thereof, in each case who, in the reasonable opinion of Borrower, constitute “insiders” for purposes of SOX from time to time.

The Subscriber understands that other circumstances may arise in which considerations under the ▇▇▇▇▇▇▇▇-▇▇▇▇▇ Act will make it necessary or advisable for the Fund, in its sole discretion, to require pre-funding of commitments by the Subscriber under this Subscription Agreement in advance of other limited partners of the Fund who are not SOX Insiders and upon not less than five calendars days’ notice.
