S&P Collateralization Event definition

S&P Collateralization Event shall have the meaning given in Part 5(f)(i) above.
S&P Collateralization Event. “Ratings Event”, “Fitch Ratings Event”, “Moody’s Ratings Event”, and “S&P Ratings Event” have the meanings assigned in the Schedule.
S&P Collateralization Event shall be as defined in the accompanying Schedule.

Examples of S&P Collateralization Event in a sentence

  • For the avoidance of doubt, the parties hereby acknowledge and agree that notwithstanding the occurrence of an S&P Collateralization Event, this Agreement and each Transaction hereunder shall continue to be a Swap Agreement for purposes of the Transaction Documents.

  • An S&P Collateralization Event has occurred and is continuing and Party A has failed to comply with or perform any obligation to be complied with or performed by Party A in accordance with the "Downgrade Provisions" as set forth in Part 5(f)(ii) and a S&P Ratings Event has neither occurred nor is continuing.

S&P Collateralization Event is deemed to occur if (i) no S&P Substitution Event has occurred and is continuing with respect to each Relevant Entity, (ii) such Relevant Entity is a Financial Institution, (iii) any of the Notes are Outstanding and rated by S&P, and (iv) the short-term rating of such Relevant Entity from S&P is downgraded to “A-2” or, if such Relevant Entity does not have a short-term rating from S&P, the long-term rating of such Relevant Entity from S&P is downgraded below “A+”.
S&P Collateralization Event is deemed to occur with respect to a Relevant Entity if, at any time when any of the Notes are Outstanding and rated by S&P, the short-term rating of such Relevant Entity from S&P is withdrawn, suspended or downgraded below “A-1” or, if no such short-term rating exists, if the long-term rating of such Relevant Entity from S&P is withdrawn, suspended or downgraded below “A+”.
